2.1 Feststellung des Jahresabschlusses für das Geschäftsjahr 2022	1.1 Adoption of the Annual Accounts for the Business Year 2022
Der Jahresabschluss der Gesellschaft zum 31. Dezember 2022 mit einer Bilanzsumme von EUR 16.402.800,66 und einem Jahresfehlbetrages für das Geschäftsjahr vom 1. Januar 2022 bis zum 31. Dezember 2022 vor Zuweisung an Gesellschafterkonten in Höhe von EUR 1.157.645,18 wird festgestellt.	The annual accounts of the Company as of December 31, 2022 with a balance sheet total of EUR 16,402,800.66 and an annual loss for the business year from January 1,2022 to December 31, 2022 before distribution to shareholders in the amount of EUR 1,157,645.18 are hereby adopted.
2.2 Entlastung	1.2 Approval of Managerial Activities
Den Geschäftsführern Herrn Dennis Schneider und Herrn Gabor Havas wird für das Geschäftsjahr 2022 Entlastung erteilt.	The managerial activities of the managing directors Mr. Dennis Schneider and Mr. Gabor Havas in the business year 2022 are hereby approved.
2.3 Bestellung des Abschlussprüfers für das Geschäftsjahr 2023	1.3 Appointment of Auditor of Annual Accounts for the Business Year 2023
Für das Geschäftsjahr 2023 (1. Januar 2023 bis 31. Dezember 2023) wird die Wirtschaftsprüfungsgesellschaft PricewaterhouseCoopers GmbH zum Abschlussprüfer im Sinne des § 318 HGB für die Gesellschaft bestellt.	For the business year 2023 (January 1, 2023 until December 31, 2023) the accounting firm Pricewaterhouse-Coopers GmbH is appointed as auditor of the annual accounts in the meaning of Sec. 318 German Commercial Code (HGB).
Damit ist die Gesellschafterversammlung beendet. Weitere Beschlüsse werden nicht gefasst.	The shareholders' meeting is thereby finished. Further resolutions are not passed.
Der für diese Gesellschafterversammlung maßgebliche Text ist derjenige in deutscher Sprache. Im Falle von Widersprüchen zwischen der deutschen und der englischen Fassung hat daher die deutsche Fassung Vorrang.	For this shareholders' meeting the German wording shall be decisive. In case of any inconsistencies between the German and the English wording, the German wording shall therefore prevail.
