I. Allgemeine Angaben

Die Gesellschaft ist nach den in § 267 (1) i.V.m § 267a HGB bezeichneten Größenmerkmalen zum Abschlussstichtag 31. Dezember 2022 eine Kleinst-Kapitalgesellschaft & Co.

Als Kommanditgesellschaft mit einer Kapitalgesellschaft als persönlich haftendem Gesellschafter unterliegt sie der Anwendung der §§ 264 a bis 264 c HGB.

Die Gliederung und der Ausweis der Posten der Bilanz entsprechen den Vorschriften für mittelgroße Kapitalgesellschaften (§ 266 HGB).

Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gem. § 275 Abs. 2 HGB angewendet.

II. Bilanzierungs- und Bewertungsmethoden

Die sonstigen Vermögensgegenstände sowie die liquiden Mittel sind grundsätzlich zum Nennwert bewertet.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten. Sie sind mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt. Es bestehen keine Verbindlichkeiten mit einer Restlaufzeit von mehr als 5 Jahren.

III. Sonstige Angaben

A) Organe

Persönlich haftende Gesellschafterin ist die AREA5.0 Verwaltungs GmbH, Hamburg, mit einem Stammkapital von 25.000,00 EUR.

Geschäftsführer der AREA5.0 Verwaltungs GmbH war:

Herr Jens Hogekamp, Kaufmann
Vertretungsberechtigt gemäß allgemeiner Vertretungsregelung; mit der Befugnis, im Namen der Gesellschaft mit sich im eigenen Namen oder als Vertreter eines Dritten Rechtsgeschäfte abzuschließen.

Herrn Pascal Kehrer, Kaufmann
Gesamtprokura gemeinsam mit einem Geschäftsführer oder einem anderen Prokuristen mit der Befugnis, im Namen der Gesellschaft mit sich als Vertreter eines Dritten Rechtsgeschäfte abzuschließen.

B) Angaben nach § 264c Abs. 1 HGB

Es bestehen Verbindlichkeiten gegenüber der Komplementärin der AREA5.0 Verwaltungs GmbH in Höhe von insgesamt 0,00 Euro (Vorjahr: 2.500,00 Euro).

Es bestehen Verbindlichkeiten gegenüber der Kommanditistin der BECKEN Portfolio Institutionell GmbH in Höhe von insgesamt 0,00 Euro (Vorjahr: 672.459,12 Euro).

C) Arbeitnehmer

Die Gesellschaft beschäftigte im Berichtsjahr keine Arbeitnehmer.
