Anhang

Die API GmbH mit Sitz in Meckenheim wird beim Amtsgericht Bonn unter der Registernummer HRB 22509 geführt.

I. Anwendung des Handelsgesetzbuches

Der Jahresabschluss der API GmbH, Meckenheim, für das Geschäftsjahr 2023 wurde nach den Vorschriften des Handelsgesetzbuches (HGB) unter Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften aufgestellt. Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

II. Bilanzierungs- und Bewertungsgrundsätze

Das Sachanlagevermögen wird zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, denen die jeweils steuerrechtlich zulässigen Höchstsätze zugrunde liegen, bewertet.

Die Finanzanlagen wurden wie folgt angesetzt und bewertet:
· Beteiligungen zu den Anschaffungskosten
· Anteile an verbundenen Unternehmen zu den Anschaffungskosten
· Ausleihungen zum Nennwert zzgl. aufgelaufener Zinsen
Soweit erforderlich, wurde der am Bilanzstichtag vorliegende niedrigere Wert angesetzt.

Forderungen und übrige Gegenstände des Umlaufvermögens werden mit Anschaffungskosten bzw. dem niedrigeren beizulegenden Wert bilanziert.

Rückstellungen werden mit dem Erfüllungsbetrag, der nach vernünftiger kaufmännischer Beurteilung notwendig ist, bewertet. Die "sonstigen Rückstellungen" berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen.

Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.

III. Erläuterungen zur Bilanz

Anlagevermögen

Im Anlagevermögen wird im Wesentlichen die in Meckenheim errichtete Großküche sowie Beteiligungen der Gesellschaft an Kapital- und Personengesellschaften ausgewiesen.

1. Verbindlichkeiten

Der Betrag der Verbindlichkeiten gegenüber Gesellschaftern beläuft sich auf EUR 12.106.688,88 (Vorjahr: 11.464.891,26)
· davon mit einer Laufzeit bis zu einem Jahr: EUR 930.271,09
· davon mit einer Laufzeit von einem bis fünf Jahren: EUR 3.435.426,26
· davon mit einer Laufzeit über fünf Jahre: EUR 3.934.898,26

Die weiteren Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.

IV. Sonstige Angaben

Als Geschäftsführer sind die nachfolgenden Personen bestellt:
· Debosque, Damien, Croix, Frankreich
· Platret, Benoit, Lille, Frankreich (Eintragung im Handelsregister am 14.06.2024)
Nicht mehr Geschäftsführerin ist Frau Anne Lecomte (Eintragung im Handelsregister am 14.06.2024).

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 2 (Vorjahr: 0).
