Formwechsel

Formwechsel, under the Transformation Act (UmwG), is the legally secure process by which a company changes its legal form without relinquishing its legal personality. It is merely a 'change of attire': assets, contracts, employment relationships, and tax numbers remain identical (§ 202 UmwG). Typical cases include the change from a GmbH to an AG or from an OHG to a KG. The change of legal form is initiated by a notarized transformation plan and a shareholder resolution with a qualified majority. This is followed by a transformation report, if necessary, an audit, a creditor call, and registration in the commercial register; the old register sheet is closed and marked with 'Legal form changed'. Creditor protection regulations require publication and, if necessary, security provisions to protect third parties. The process is generally tax-neutral, provided the requirements of § 1 UmwStG are met. A Formwechsel offers attractive advantages: limitation of liability, facilitated capital acquisition, optimized business succession, and reduced founding formalities, as no new formation occurs.
