Komplementär

A Komplementär is the general partner in a limited partnership (KG) or a partnership limited by shares (KGaA). As a fully liable partner, the Komplementär bears unlimited, direct, and joint liability with their entire private assets for all company liabilities – a key distinction from limited partners with limited liability. Each Komplementär is registered in the commercial register with their name, date of birth, or in the case of a Komplementär-GmbH, with the HR number; this ensures transparency for creditors. In the popular legal form GmbH & Co. KG, a GmbH assumes the role of the Komplementär, thereby limiting the liability risk to the assets of the GmbH. According to law, Komplementäre have comprehensive management and representation authority: they conduct daily business, represent the KG externally, and may – unless otherwise stipulated in the partnership agreement – make legally binding decisions alone. The name of a Komplementär may, but does not have to, appear in the company name of a KG; this can contribute to brand building.
