1. Allgemeine Angaben zum Jahresabschluss

Die A!B!C Beteiligungs-GmbH mit Sitz in Wuppertal wird beim Amtsgericht Wuppertal unter der HRB-Nummer 22289 geführt.

Der Jahresabschluss der A!B!C Beteiligungs-GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt. Insbesondere wurden auch die Vorschriften des Bilanzrichtlinie-Umsetzungsgesetz beachtet. Ergänzend zu diesen Vorschriften waren ebenfalls die Regelungen des GmbH-Gesetztes und des Gesellschaftsvertrages zu beachten.

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gegliedert.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 HGB.

Bewertungs- und Gliederungsvorschriften wurden unverändert zu denen des Vorjahres angewandt.

2. Bilanzierungs- und Bewertungsmethoden

Im Jahresabschluss sind sämtliche Vermögensgegenstände, Schulden, Aufwendungen und Erträge enthalten, soweit nichts anderes bestimmt ist.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände vorgenommen.

Geringwertige Wirtschaftsgüter wurden gemäß § 6 Abs. 2 EStG im Jahr des Zugangs voll abgeschrieben und als Abgang berücksichtigt.

Bewegliche Gegenstände des Anlagevermögens bis zum einem Wert von € 150,00 wurden im Jahr des Zugangs unmittelbar aufwandswirksam erfasst.

Forderungen aus Lieferungen und Leistungen wurden zu Nennwerten angesetzt. Für erkennbare Einzelrisiken wurden, soweit erforderlich, Einzelwertberichtigungen gebildet. Eine Pauschalwertberichtigung wurde nicht gebildet.
Der Ansatz der übrigen Forderungen, sonstigen Vermögensgegenstände und sonstigen liquiden Mittel erfolgte zum Nennwert unter Berücksichtigung aller erkennbaren Risiken.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt. Die Bewertung erfolgte in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages.

Verbindlichkeiten wurden mit dem Erfüllungsbetrag angesetzt. Sofern die Tageswerte über den Erfüllungsbeträgen lagen, wurden die Verbindlichkeiten zum höheren Tageswert angesetzt.

3. Erläuterungen zur Bilanz und zur Gewinn- und Verlustrechnung

Zum Bilanzstichtag bestehen Verbindlichkeiten gegenüber Kreditinstituten in Höhe von 41 T€ (Vorjahr 41 T€). Die Verbindlichkeiten gegenüber Kreditinstituten sind in Höhe von 41 T€ durch Bürgschaften abgesichert. Davon haben 41 T€ (Vorjahr: 29 T€) eine Restlaufzeit von unter einem Jahr.

Zum Bilanzstichtag bestehen Verbindlichkeiten gegenüber Gesellschaftern in Höhe von 276 T€ (Vorjahr 295 T€). Diese haben sämtlich eine Restlaufzeit von unter einem Jahr.

Verbindlichkeiten aus Lieferungen und Leistungen bestehen in Höhe von 1 T€ (Vorjahr 5 T€) und in Höhe von 51 T€ (Vorjahr 42 T€) aus sonstigen Verbindlichkeiten und haben sämtlich eine Restlaufzeit von unter einem Jahr.

4. Haftungsverhältnisse und sonstige Verpflichtungen, Pfandrechte und Sicherheiten

Haftungsverhältnisse gem. § 251 HGB i.V.m. § 268 Abs. 7 HGB bestanden am Stichtag nicht.

Von den größenabhängigen Erleichterungen des § 288 HGB wurde Gebrauch gemacht.

5. Sonstige Angaben

Im Geschäftsjahr wurde durchschnittlich 7 Mitarbeiter beschäftigt.

Die A!B!C AG als Gläubigerin der A!B!C Beteiligungs-GmbH hat zum 31.12.2015 einen Rangrücktritt bezüglich ihrer Darlehensforderung von 170.000,00 € erklärt.

Darüber hinaus hat die A!B!C AG als Hauptgesellschafterin der A!B!C Beteiligungs-GmbH gegenüber dieser am 15.12.2020 eine harte Patronatserklärung über 179.735,90 € abgegeben.
