Who has to publish what?

What must be published depends on company size, measured by total assets, revenue and headcount: a company belongs to a size class when it stays below two of the three limits on two consecutive balance-sheet dates. Current limits:

Micro-companies up to €450,000 total assets · €900,000 revenue · 10 employees
Only deposit a balance sheet, which is not publicly viewable. No figures appear here.
Small companies up to €7.5 million total assets · €15 million revenue · 50 employees
Publish an abridged balance sheet without a profit and loss statement. Revenue and net income are then missing.
Medium-sized companies up to €25 million total assets · €50 million revenue · 250 employees
Publish the balance sheet and an abridged profit and loss statement.
Large companies (above that)
Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

ANHANG

Allgemeine Angaben

Es handelt sich um eine kleine Kapitalgesellschaft gem. § 267 HGB.

Die Gesellschaft wurde am 28. Juni 1988 errichtet. Die Eintragung im Handelsregister des Amtsgerichts München erfolgte am 10. August 1988 unter HRB 84966.

Sitz der Gesellschaft ist München.

Gegenstand der Gesellschaft ist die Entwicklung und der Vertrieb von Software sowie Beratung von Unternehmen in EDV-Angelegenheiten.

Geschäftsjahr ist das Kalenderjahr.

Grundsätze zu Bilanzierung und Bewertung

Erworbene immaterielle Vermögensgegenstände wurden zu Anschaffungskosten erfasst und linear abgeschrieben, wobei beim Firmenwert eine voraussichtliche Nutzungsdauer von 15 Jahren angenommen wurde.

Die Sachanlagen wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Bei beweglichen Gegenständen des Anlagevermögens bis zu einem Wert von € 150,00 wurde von der Bewertungsfreiheit des § 6 Abs. 2 EStG Gebrauch gemacht. Bei Werten zwischen € 150,00 und € 1.000,00 erfolgte eine Einstellung in den Sammelposten gem. § 6 Abs. 2a EStG.

Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

Forderungen und Wertpapiere wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die Steuerrückstellungen beinhalten noch nicht bezahlte Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag passiviert.

Aufgliederung und Entwicklung der Anlagenwerte ist aus dem Anlagenspiegel zu entnehmen.

Die Geschäftsjahresabschreibung ist aus dem Anlagenspiegel ersichtlich.

Rückstellungen für Pensionen und ähnliche Verpflichtungen

Aufgrund eines in 1998 geschlossenen Pensionsvertrages zwischen der ABE Wolf Software GmbH und dem Geschäftsführer Herrn Bernhard Wolf war eine Rückstellung in Höhe von
€ 123.589,00 zu bilden. Der Ansatz erfolgte anhand eines versicherungsmathematischen Gutachtens.
