I. Allgemeine Angaben

I.1. Angaben zur Identifikation der Gesellschaft laut Registergericht

Die Arvantis Group Holding GmbH mit Sitz in Grünwald ist im Handelsregister des Amtsgerichts München unter der Nummer HRB 270193 eingetragen.

I.2. Angaben zum Jahresabschluss

Der Jahresabschluss wird nach den Vorschriften des Handelsgesetzbuches aufgestellt. Der Gliederung der Bilanz sowie der Gewinn- und Verlustrechnung liegen die Vorschriften der §§ 266 und 275 Abs. 2 HGB (Gesamtkostenverfahren) zugrunde.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Das Sachanlagevermögen wird zu Anschaffungs- bzw. Herstellungskosten und, so weit abnutzbar, vermindert um planmäßige Abschreibungen bewertet.

Die planmäßigen Abschreibungen werden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Die Finanzanlagen werden wie folgt angesetzt und bewertet:

- Anteile an verbundenen Unternehmen zu Anschaffungskosten

- Ausleihungen zum Nennwert

Die Finanzanlagen (Beteiligung an Personengesellschaften) sind mit den Anschaffungskosten zuzüglich Anschaffungsnebenkosten bewertet. Zusätzlich geleistete Einlagen erhöhen die Anschaffungskosten. Verlustanteile aus der Beteiligung sind in der Handelsbilanz nicht zu erfassen, solange keine dauernde Wertminderung der Beteiligung vorliegt. Positive Ergebnisanteile aus der Beteiligung sind als Beteiligungsertrag auszuweisen, insoweit entnahmefähige Gewinnanteile vorliegen.

Die Bewertung der Forderungen und sonstigen Vermögensgegenstände sowie Guthaben bei Kreditinstituten erfolgt zum Nennwert.

Die sonstigen Rückstellungen werden unter Berücksichtigung aller erkennbaren Risiken und ungewissen Verbindlichkeiten mit dem nach vernünftiger kaufmännischer Beurteilung erforderlichen Erfüllungsbetrag angesetzt.

Verbindlichkeiten werden mit dem Erfüllungsbetrag passiviert.

Rechnungsabgrenzungsposten werden mit dem Betrag der Zahlungen angesetzt, soweit diese Aufwand bzw. Ertrag für eine bestimmte Zeit nach dem Bilanzstichtag darstellen.

Die angewandten Bilanzierungs- und Bewertungsmethoden werden unverändert beibehalten.

III. Angaben zur Bilanz

Verbindlichkeiten

Sämtliche Verbindlichkeiten haben (wie im Vorjahr) eine Restlaufzeit von bis zu einem Jahr.

IV. Sonstige Angaben

1. Anzahl der Arbeitnehmer

Während des Geschäftsjahrs wurde im Unternehmen durchschnittlich 1 Arbeitnehmer beschäftigt.

2. Haftungsverhältnisse aus der Bestellung von Sicherheiten für fremde Verbindlichkeiten

Die Gesellschaft hat zugunsten eines Dritten mit Datum vom 15. Januar 2022 eine Patronatserklärung abgegeben, wonach die Gesellschaft den Dritten jederzeit finanziell so ausstattet, dass die Bonität erhalten bleibt und der Dritte jederzeit in der Lage ist, seine gegenwärtigen und künftigen Verpflichtungen aus einem Mietverhältnis zu erfüllen. Aufgrund der Vermögenslage des Dritten geht die Gesellschaft derzeit nicht von einer Inanspruchnahme aus der abgegebenen Sicherheit aus. Der Betrag der möglichen Inanspruchnahme ist der Höhe nach unbegrenzt.
