I. Allgemeine Angaben

I.1. Angaben zur Identifikation der Gesellschaft laut Registergericht

Die Felicis Gamma GmbH mit Sitz in Schönefeld ist im Handelsregister des Amtsgerichts Cottbus unter der Nummer HRB 13239 CB eingetragen.

I.2. Angaben zum Jahresabschluss

Der Jahresabschluss wird nach den Vorschriften des Handelsgesetzbuches aufgestellt. Der Gliederung der Bilanz sowie der Gewinn- und Verlustrechnung liegen die Vorschriften der §§ 266 und 275 Abs. 2 HGB (Gesamtkostenverfahren) zugrunde.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Mit Vereinbarung vom 16. Dezember 2022 hat die Felicis Gamma GmbH als übernehmender Rechtsträger das Handelsgeschäft der ArvantisPrato GmbH & Co. KG im Wege der Anwachsung mit Wirkung zum 31. Dezember 2022, 24:00 Uhr übernommen. Dabei wurden die jeweiligen Buchwerte bei der aufnehmenden Felicis Gamma GmbH fortgeführt. Der Vorgang wurde am 5. Januar 2023 in das Handelsregister eingetragen.

Zum Bilanzstichtag weist die Gesellschaft einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von 817.248,97 EUR (Vj.: 640.650,44 EUR) aus, in welchem ein Übernahmeverlust aus dem Jahr 2023 in Höhe von 651.776,89 EUR enthalten ist. Wir verweisen auf Ziffer III.1.

Die Werte der Bilanz sowie der Gewinn- und Verlustrechnung des Berichtsjahres sind trotz der durchgeführten Anwachsung insoweit mit denen des Vorjahres vergleichbar, weshalb auf weitergehende Erläuterungen verzichtet wird.

Die Finanzanlagen werden wie folgt angesetzt und bewertet:

- Beteiligungen zu Anschaffungskosten

Die Bewertung der Forderungen und sonstigen Vermögensgegenstände sowie Guthaben bei Kreditinstituten erfolgt zum Nennwert.

Die sonstigen Rückstellungen werden unter Berücksichtigung aller erkennbaren Risiken und ungewissen Verbindlichkeiten mit dem nach vernünftiger kaufmännischer Beurteilung erforderlichen Erfüllungsbetrag angesetzt.

Verbindlichkeiten werden mit dem Erfüllungsbetrag passiviert.

Die angewandten Bilanzierungs- und Bewertungsmethoden werden unverändert beibehalten.

III. Angaben zur Bilanz

III.1. Eigenkapital

Die Kapitalrücklagen in Höhe von 224.150,05 EUR (Vorjahr: 224.150,05 EUR) resultieren aus Einlagen (§ 272 Abs. 2 Nr. 4 HGB).

Der Jahresabschluss zum 31. Dezember 2024 weist eine bilanzielle Unterdeckung
in Höhe von 817.248,97 EUR aus, die durch Rangrücktrittsvereinbarungen über 8.408.796,07 EUR abgedeckt wird.

III.2. Verbindlichkeiten

Sämtliche Verbindlichkeiten haben (wie im Vorjahr) eine Restlaufzeit von bis zu einem Jahr.

Während des Geschäftsjahrs wurden keine Arbeitnehmer beschäftigt.
