Allgemeine Angaben zum Jahresabschluss

Der vorliegende Jahresabschluss wurde nach den maßgeblichen Vorschriften des Handelsgesetzbuches (HGB) und denen des GmbH Gesetzes (GmbHG) aufgestellt.

Die Bilanz sowie die Gewinn- und Verlustrechnung sind entsprechend den Bestimmungen des HGB gem. §§ 266, 275 HGB gegliedert. Die Darstellung der Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB erstellt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Der Jahresabschluss wurde unter der Prämisse der Unternehmensfortführung aufgestellt.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Bilanzierungs- und Bewertungsgrundsätze

Die Finanzanlagen wurden wie folgt angesetzt und bewertet:

- Beteiligungen zu Anschaffungskosten

Forderungen und Wertpapiere wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Gegenüber dem Vorjahr abweichende Bilanzierungs- und Bewertungsmethoden

Beim Jahresabschluss konnten die bisher angewandten Bilanzierungs- und Bewertungsmethoden im Wesentlichen übernommen werden.

Ein grundlegender Wechsel von Bilanzierungs- und Bewertungsmethoden gegenüber dem Vorjahr fand nicht statt.

Gewinn-/Verlustvortrag bei teilweiser Ergebnisverwendung

Bei Aufstellung der Bilanz unter Berücksichtigung der teilweisen Ergebnisverwendung wurde im Bilanzverlust ein Verlustvortrag von EUR 70.233,02 einbezogen.

Nicht durch Eigenkapital gedeckter Fehlbetrag

Die Gesellschaft weist in ihrer Bilanz zum Abschlussstichtag einen nicht durch Eigenkapital gedeckten Fehlbetrag von EUR 47.462,28 aus.

Eine sich nach handelsrechtlichen Vorschriften ergebende sog. bilanzielle Überschuldung ist grundsätzlich nicht geeignet, gleichzeitig eine Überschuldung im Rechtssinne festzustellen. Diese lässt sich nur auf der Grundlage eines Vermögensstatus ermitteln, wobei die Vermögenspositionen mit den Liquidationswerten unter Einbeziehung der stillen Reserven den Schulden gegenüberzustellen sind. Zudem ist eine Prognose der Finanzkraft im Hinblick auf die Fortführung des Unternehmens anzustellen.

Nach Überzeugung der Geschäftsführung verfügt die Gesellschaft mit ihrer Beteiligung unter Zugrundelegung der Annahme der Fortführung des Unternehmens über ausreichend Finanz- und Ertragskraft, um die sich aus der auf der Grundlage handelsrechtlicher Vorschriften aufgestellten Bilanz ergebende Überschuldung zu heilen.
