German corporations such as GmbH, UG and AG must file their annual statement with the Unternehmensregister (the federal company register) within twelve months of the end of the fiscal year. The statement for 2019 was therefore due by the end of 2020 – no newer one has been filed there to date.

Who has to publish what?

What must be published depends on company size, measured by total assets, revenue and headcount: a company belongs to a size class when it stays below two of the three limits on two consecutive balance-sheet dates. Current limits:

Micro-companies up to €450,000 total assets · €900,000 revenue · 10 employees
Only deposit a balance sheet, which is not publicly viewable. No figures appear here.
Small companies up to €7.5 million total assets · €15 million revenue · 50 employees
Publish an abridged balance sheet without a profit and loss statement. Revenue and net income are then missing.
Medium-sized companies up to €25 million total assets · €50 million revenue · 250 employees
Publish the balance sheet and an abridged profit and loss statement.
Large companies (above that)
Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

I. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS

Der Jahresabschluss wurde auf der Grundlage der Gliederungs-, Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften wurden die Regelungen des GmbH-Gesetzes beachtet.

Größenabhängige Erleichterungen bei der Erstellung (§§ 266 I, 276, 288 HGB) des Jahresabschlusses wurden in Anspruch genommen.

Der Jahresabschluss wurde entsprechend den Gliederungsvorschriften der §§ 266 ff. HGB aufgestellt.

II. ANGABEN ZU BILANZIERUNGS- UND BEWERTUNGSMETHODEN

Bilanzierungsmethoden

Der vorliegende Jahresabschluss ist unter Beibehaltung der für den Vorjahresabschluss angewendeten Gliederungs- und Bewertungsgrundsätze nach den für kleine Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches und den ergänzenden Vorschriften des GmbH-Gesetzes aufgestellt.

Im Jahresabschluss sind sämtliche Vermögensgegenstände, Schulden, Rechnungsabgrenzungsposten, Aufwendungen und Erträge enthalten, soweit gesetzlich nichts anderes bestimmt ist. Die Posten der Aktivseite sind nicht mit Posten der Passivseite, Aufwendungen nicht mit Erträgen verrechnet worden.

Das Anlagevermögen weist nur Gegenstände aus, die dazu bestimmt sind, dem Geschäftsbetrieb dauernd zu dienen. Aufwendungen für die Gründung des Unternehmens und für die Beschaffung des Eigenkapitals, sowie für immaterielle Vermögensgegenstände, die nicht entgeltlich erworben wurden, wurden nicht bilanziert.

Rückstellungen wurden nur im Rahmen des § 249 HGB und Rechnungsabgrenzungsposten wurden nach den Vorschriften des § 250 HGB gebildet.

Bewertungsmethoden

Die Wertansätze der Eröffnungsbilanz des Geschäftsjahres stimmen mit denen der Schlussbilanz des vorangegangenen Geschäftsjahres überein. Bei der Bewertung wurde von der Fortführung des Unternehmens ausgegangen. Die Vermögensgegenstände und Schulden wurden einzeln bewertet.

Es ist vorsichtig bewertet worden, namentlich sind alle vorhersehbaren Risiken und Verluste, die bis zum Abschlussstichtag entstanden sind, berücksichtigt worden, selbst wenn diese erst zwischen Abschlussstichtag und der Aufstellung des Jahresabschlusses bekannt geworden sind.

Gewinne sind nur berücksichtigt worden, wenn sie bis zum Abschlussstichtag realisiert wurden. Aufwendungen und Erträge des Geschäftsjahres sind unabhängig vom Zeitpunkt der Zahlung berücksichtigt worden.

ANLAGEVERMÖGEN
IMMATERIELLE VERMÖGENSGEGENSTÄNDE

Die entgeltlich erworbenen immateriellen Vermögensgegenstände werden zu Anschaffungskosten vermindert um planmäßige Abschreibungen bewertet.

SACHANLAGEN

Bei den Sachanlagen erfolgt die Bewertung zu Anschaffungskosten oder zu Herstellungskosten, bei Gegenständen des Sachanlagevermögens, deren Nutzung zeitlich begrenzt ist, vermindert um planmäßige Abschreibungen.

Die Abschreibungen erfolgen planmäßig entsprechend der voraussichtlichen Nutzungsdauer.
FINANZANLAGEN

Die Finanzanlagen sind mit den Anschaffungskosten bilanziert.

UMLAUFVERMÖGEN
VORRÄTE

Die Vorräte werden zu Anschaffungs- oder Herstellungskosten angesetzt oder auf den niedrigeren beizulegenden Wert abgeschrieben.

FORDERUNGEN UND SONSTIGE VERMÖGENSGEGENSTÄNDE

Die Bewertung der Forderungen und sonstigen Vermögensgegenstände erfolgt grundsätzlich zum Nennwert. Erkennbare Einzelrisiken werden durch Einzelwertberichtigungen berücksichtigt. Das allgemeine Kreditrisiko bei Forderungen aus Lieferungen und Leistungen wird durch eine Pauschalwertberichtigung berücksichtigt.

LIQUIDE MITTEL

Die flüssigen Mittel sind mit dem Nennwert angesetzt.

RÜCKSTELLUNGEN

Bei der Bildung der sonstigen Rückstellungen wurde den erkennbaren Risiken und ungewissen Verbindlichkeiten nach vernünftiger kaufmännischer Beurteilung angemessen Rechnung getragen. Alle bis zum Bilanzstichtag entstandenen und bis zum Tag der Bilanzaufstellung erkennbaren Risiken sind berücksichtigt und mit dem vorsichtig geschätzten Erfüllungsbetrag bewertet.

VERBINDLICHKEITEN
Die Verbindlichkeiten sind grundsätzlich mit dem Rückzahlungsbetrag angesetzt. Sofern Tageswerte über den Rückzahlungsbeträgen lagen, werden die Verbindlichkeiten zum höheren Tageswert angesetzt.

Zum Bilanzstichtag bestanden Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr i.H.v. EUR 26.086,66 (Vj. EUR 91.881,95).

Zum Bilanzstichtag bestanden Verbindlichkeiten mit einer Restlaufzeit von über 5 Jahren i.H.v. EUR 0,00 (Vj. EUR 0,00).

Die Verbindlichkeiten gegenüber Gesellschaftern beliefen sich zum Bilanzstichtag auf insgesamt EUR 139.899,96 (Vj. EUR 139.899,96).
