1. Allgemeine Angaben zum Unternehmen

Die C. Management GmbH mit Sitz in Husum, eingetragen in das Handelsregister des Amtsgerichts Flensburg (HR B 8614 FL), ist eine kleine Kapitalgesellschaft gemäß § 267 Abs. 1 HGB.

2. Allgemeine Angaben zu Inhalt und Gliederung des Jahresabschlusses

Der Jahresabschluss zum 31. Dezember 2023 der Gesellschaft wurde nach den Vorschriften des Handelsgesetzbuches aufgestellt. Die Aufstellung erfolgte unter Beachtung der allgemeinen Vorschriften der §§ 242 ‑ 256 ff. HGB sowie der ergänzenden Vorschriften für Kapitalgesellschaften gemäß §§ 264 ff. HGB.

Von den größenabhängigen Erleichterungen, die für kleine Kapitalgesellschaften im Sinne des § 288 HGB gelten, wurde teilweise Gebrauch gemacht.

Soweit Wahlrechte für Angaben in der Bilanz oder im Anhang ausgeübt werden können, wurde der Vermerk im Anhang gewählt.

Für die Gliederung der Gewinn- und Verlustrechnung wählten wir das Gesamtkostenverfahren gem. § 275 Abs. 2 HGB. Die gesetzlichen Gliederungsvorschriften wurden beachtet.

3. Bilanzierungs- und Bewertungsgrundsätze

Die für Kapitalgesellschaften geltenden handelsrechtlichen Bewertungsvorschriften wurden unter Berücksichtigung der Fortführung der Unternehmenstätigkeit beachtet.

Im Einzelnen erfolgen Bilanzierung und Bewertung zu folgenden Grundsätzen:

Die Bewertung des Anlagevermögens erfolgte gemäß der §§ 253, 255 HGB. Die abnutzbaren Sachanlagen wurden mit den Anschaffungskosten vermindert um planmäßige Abschreibungen angesetzt. Anlagenzugänge im Berichtsjahr wurden linear abgeschrieben. Die Nutzungsdauer der in den Betriebs- und Geschäftsausstattungen enthaltenen Fahrzeuge beträgt sechs Jahre.

Die Anteile an verbundenen Unternehmen wurden im Wege der Sacheinlage anlässlich der Gründung der Gesellschaft eingebracht. Der Ansatz erfolgte zum Wert der eingebrachten Anteile, der dem Nominalwert der ursprünglichen Geschäftsanteile entspricht. Die Beteiligungen wurden zu Anschaffungskosten bilanziert.

Die Forderungen und sonstigen Vermögensgegenstände sind zu Nennwerten angesetzt.

Für ungewisse Verbindlichkeiten sind in ausreichendem Maße Rückstellungen gebildet worden. Die Bewertung erfolgte in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages.

Der Ansatz der Verbindlichkeiten erfolgte mit ihren Erfüllungsbeträgen.

4. Erläuterungen zur Bilanz

(1) Forderungen und sonstige Vermögensgegenstände

Sämtliche Forderungen und sonstigen Vermögensgegenstände haben eine Restlaufzeit von unter einem Jahr.

(2) Verbindlichkeiten

Es bestehen Verbindlichkeiten gegenüber Gesellschaftern in Höhe von TEUR 0 (Vorjahr: TEUR 2.099)

Sämtliche Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.

3. Haftungsverhältnisse

Es bestehen Bürgschaften für Verbindlichkeiten eines verbundenen Unternehmens in Höhe von TEUR 3.500 (Vorjahr: TEUR 3.500). Ferner bestehen Haftungsverhältnisse aus Schuldbeitritt in Höhe von TEUR 3.000 (Vorjahr: TEUR 3.000) für Verbindlichkeiten eines nahestehenden Unternehmens.

4. Sonstige Angaben

Die Gesellschaft beschäftigte im Geschäftsjahr 2023 einen Mitarbeiter.
