1. Allgemeine Angaben zum Jahresabschluss

Die CALL TONI GmbH ist eine Gesellschaft mit beschränkter Haftung mit Sitz in Mainz, eingetragen im Handelsregister des Amtsgerichts Mainz unter HRB 40847.

Der Jahresabschluss der CALL TONI GmbH, Mainz, zum 31.12.2023 wurde entsprechend dem Gesellschaftsvertrag nach den geltenden Vorschriften des Handelsgesetzbuches (HGB) und den ergänzenden Bestimmungen des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung in der jeweils gültigen Fassung aufgestellt.

Die Bilanz entspricht der Gliederung nach § 266 HGB. Die Gewinn- und Verlustrechnung wurde gemäß § 275 HGB nach dem Gesamtkostenverfahren aufgestellt.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne der §§ 264, 267 Abs. 1 HGB auf. Von den größenabhängigen Erleichterungen nach § 276 Satz 1 HGB wurde kein Gebrauch gemacht. Hingegen wurde die Erleichterung gemäß § 288 Abs. 1 ff. HGB teilweise in Anspruch genommen.

2. Angaben zur Bilanzierung und Bewertung einschließlich der Vornahme steuerlicher Maßnahmen

Angaben zu Bilanzierungs- und Bewertungsmethoden

Für die Aufstellung des Jahresabschlusses waren die nachfolgenden und unverändert zum Vorjahr angewandten Bilanzierungs- und Bewertungsmethoden maßgebend.

Im Einzelnen wurden folgende Grundsätze und Methoden angewandt:

Entgeltlich erworbene immaterielle Vermögensgegenstände sind zu Anschaffungskosten erfasst und werden planmäßig linear über ihre betriebsindividuell geschätzte Nutzungsdauer abgeschrieben.

Sachanlagen werden zu Anschaffungs- oder Herstellungskosten und, soweit sie der Abnutzung unterliegen, abzüglich planmäßiger linearer Abschreibungen bewertet. Unterjährig zugegangene Vermögensgegenstände werden zeitanteilig (pro rata temporis) abgeschrieben. Die Abschreibungen erfolgen über die betriebsindividuell geschätzte Nutzungsdauer der Vermögensgegenstände.

Soweit die beizulegenden Werte einzelner Vermögensgegenstände ihren Buchwert unterschreiten, werden zusätzlich außerplanmäßige Abschreibungen bei voraussichtlich dauernder Wertminderung vorgenommen. Bewegliche Gegenstände des Anlagevermögens mit einem Einzelanschaffungswert bis zu € 800,00 wurden im Zugangsjahr voll abgeschrieben. Die Herstellungskosten enthalten die direkt zurechenbaren Einzelkosten zuzüglich der anteiligen Fertigungsgemeinkosten.

Die unfertigen und fertigen Erzeugnisse wurden, soweit vorhanden, mit den Herstellungskosten bzw. mit dem niedrigeren beizulegenden Wert bewertet.

Die Forderungen und die sonstigen Vermögensgegenstände sind mit ihren Anschaffungskosten oder den niedrigeren beizulegenden Werten bilanziert.

Der Kassenbestand und die Guthaben bei Kreditinstituten sind zum Nominalwert bewertet.

Die sonstigen Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten gemäß § 249 Abs. 1 HGB. Die Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.

Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt.

3. Angaben und Erläuterungen zu einzelnen Posten der Bilanz- und Gewinn- und Verlustrechnung

a) Forderungen und sonstige Vermögensgegenstände

Die Forderungen aus Lieferungen und Leistungen sowie die sonstigen Vermögensgegenstände haben eine Restlaufzeit von höchstens einem Jahr.

Die Forderungen gegen Gesellschafter belaufen sich auf insgesamt € 186.856,66 und haben ebenfalls eine Restlaufzeit von bis zu einem Jahr.

b) Verbindlichkeiten

Die Restlaufzeit der ausgewiesenen Verbindlichkeiten beträgt bis zu einem Jahr.

4. Gesamtbetrag der finanziellen Verpflichtungen, die nicht in der Bilanz enthalten sind, nach § 285 Nr. 3a HGB

Es bestehten aus der Provisionsvereinbarung mit den Vertragsparteien AXO-T GmbH, UK-B Holding GmbH und wilma.agency GmbH ab dem 01.04.2020 Zahlungsverpflichtungen, die insgesamt 9% des Honorarumsatzes der Gesellschaft p.a. (Umsatz abzgl. Fremdleistungen) betragen.

Die Geschäftsführer der o.a. Gesellschaften haben gemeinschaftlich den Kundenauftrag Handelsmarketing, Service und Nutzfahrzeuge der Volkswagen AG akquiriert und übertragen diese Beauftragung auf die CALL TONI GmbH bzw. unterstützen eine entsprechende Beauftragung der CALL TONI GmbH durch die Volkswagen AG.

Die Gesellschaft hat künftige Zahlungsverpflichtungen aus dem Mietverhältnis für Büroräume von jährlich € 200.000,00. Das Mietverhältnis läuft bis zum 31.12.2026. Die jährliche Verpflichtung aus mehrjährigen Leasingverträgen beträgt € 487.000,00.

5. Sonstige Pflichtangaben

a) Angaben über die Mitglieder der Unternehmensorgane

Während des abgelaufenen Geschäftsjahres wurden die Geschäfte des Unternehmens durch die Geschäftsführer Herr Uwe Klöck, Pharmazeut, Frau Wilma Mankel, Politikwissenschaftlerin (M.A.) und Frau Nicole Lamby-Czerwenka, Werbekauffrau, geführt. Herr Jens Walter Gonermann, Diplom-Kaufmann, ist mit Wirkung zum 13.09.2024 als Geschäftsführer bestellt worden. Herr Uwe Klöck ist mit Wirkung zum 13.09.2024 als Geschäftsführer abberufen worden.

b) Durchschnittliche Zahl der Arbeitnehmer

Die Gesellschaft hatte im Berichtsjahr durchschnittlich 69 Arbeitnehmer beschäftigt.
