Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss wurde nach den Vorschriften der §§ 242 ff. HGB unter der Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften aufgestellt.

Von den Erleicherungsvorschriften für kleine Kapitalgesellschaften wurde Gebrauch gemacht.

Die Bilanz der Gesellschaft zum 31. Dezember 2023 weist einen nicht durch Eigenkapital gedeckten Fehlbetrag von EUR 246.001,63 aus. Ein buchmäßiger Fehlbetrag ist nicht Tatbestand einer Überschuldung der Gesellschaft im Sinne der Insolvenzordnung. Ein insolvenzauslösender Tatbestand nach § 19 Abs. 2 Satz 1 InsO läge im Fall eines im Überschuldungsstatus ermittelten negativen Reinvermögens vor, es sei denn, die Fortführung des Unternehmens ist nach den Umständen überwiegend wahrscheinlich.

Aufgrund der im Finanzanlagevermögen der Gesellschaft enthaltenen stillen Reserven ist nicht von einer insolvenzrechtlichen Überschuldung der Gesellschaft auszugehen.

Bilanzierungs- und Bewertungsgrundsätze

Der Jahresabschluss wurde unter Annahme der Fortführung der Unternehmenstätigkeit gemäß § 252 Abs. 1 Nr. 2 HGB aufgestellt.

Die Gewinn und Verlustrechnung wurde nach dem Gesamtkostenverfahren nach § 275 Abs. 2 HGB aufgestellt.

Die Finanzanlagen werden mit den Anschaffungskosten bzw. dem niedrigeren beizulegenden Wert bewertet. Zum Bilanzstichtag wurden außerplanmäßige Abschreibungen auf den niedrigeren beizulegenden Wert in Höhe von EUR 13.545,16 vorgenommen.

Forderungen und sonstige Vermögegensgegenstände sind zum Nennwert bzw. ihren niedrigeren beizulegenden Wert bewertet. Alle erkennbaren Risiken wurden berücksichtigt.

Kassenbestand sowie Guthaben bei Kreditinstituten sind mit dem Nennwert angesetzt.

Das Eigenkapital ist zum Nennwert angesetzt.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und wurden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Verbindlichkeiten sind mit Ihren Erfüllungsbeträgen bewertet.

Angaben zur Bilanz

In den Forderungen und sonstigen Vermögensgegenständen sind Forderungen gegen verbundene Unternehmen in Höhe von EUR 4.172,73 (Vorjahr: EUR 4.064,73) ausgewiesen. Hiervon haben EUR 3.720,73 (Vorjahr: EUR 0,00) eine Restlaufzeit von mehr als einem Jahr.

Unter den Forderungen und sonstigen Vermögensgegenständen sind Forderungen gegen Unternehmen, mit denen ein Beteiligungsverhältnis besteht in Höhe von EUR 958.907,60 (Vorjahr: EUR 755.203,47) ausgewiesen. Hiervon haben EUR 0,00 (Vorjahr: EUR 755.203,47) eine Restlaufzeit von mehr als einem Jahr.

Das Stammkapital in Höhe von EUR 25.000,00 ist in Höhe von EUR 18.750,00 eingezahlt. EUR 6.250 sind nicht eingefordert.

Sonstige Angaben

Im Geschäftsjahr beschäftigt die Gesellschaft keine Arbeitnehmer.

Geschäftsführung obliegt Herrn Günter Theodor Fischer, Ludwigsfelde (OT Gröben).
