Anhang für das Geschäftsjahr 2023

A. Allgemeine Angaben

Die Gesellschaft hat ihren Sitz in Bonn und ist eingetragen im Handelsregister des Amtsgerichts Bonn unter Abteilung B unter der Nummer 20066.

Die Gesellschaft stellt eine sogenannte "kleine Kapitalgesellschaft" gemäß § 267 Abs. 1 HGB dar. Sie hat von den gesetzlichen Erleichterungen für die Aufstellung des Jahresabschlusses teilweise Gebrauch gemacht.

Der Jahresabschluss für das Geschäftsjahr 2023 wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuches für Kapitalgesellschaften aufgestellt. Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

B. Bilanzierungs- und Bewertungsmethoden

Der entgeltlich erworbene Geschäfts- und Firmenwert ist zu Anschaffungskosten bewertet und wurde über 15 Jahre abgeschrieben. Die verlängerte Abschreibungszeit des Firmenwertes auf 15 Jahre begründet sich durch die stärker als üblich ausgeprägte Kundentreue im von der Competo Media Service GmbH & Co. KG, jetzt competo media service gmbh übernommenen Kundenstamm. Die Kunden sind dem kirchlich-katholischen Umfeld zuzuordnen. Ein zusätzlicher Aspekt liegt im besonderen Leistungsumfang, den die competo media service gmbh dieser Kundengruppe bietet. Er wurde und wird von den detaillierten Kenntnissen der Mitarbeiter getragen, die von der Vorläuferorganisation übernommen wurden. So sind die Kundenbeziehungen durch eine ausgeprägte Prozessvernetzung in der Nutzung einer passgenauen IT-Infrastruktur gekennzeichnet.

Das Sachanlagevermögen ist zu Anschaffungskosten, vermindert um planmäßige nutzungsbedingte Abschreibungen angesetzt. Die planmäßigen Abschreibungen werden nach der linearen Methode abgeschrieben.

Die Vorräte werden unter Beachtung des Niederstwertprinzips zu Anschaffungskosten bewertet.

Die Forderungen und sonstigen Vermögensgegenstände sind zu Nennwerten bilanziert.
Ausfallrisiken wurden im Berichtsjahr in Form von Pauschalwertberichtigungen ausreichend berücksichtigt.

Die liquiden Mittel werden jeweils mit ihrem Nennbetrag angesetzt.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Sie wurden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags gebildet.

Die Verbindlichkeiten sind mit ihren Erfüllungsbeträgen bilanziert.

C. Erläuterungen zur Bilanz

Forderungen und sonstige Vermögensgegenstände

Alle Forderungen aus Lieferungen und Leistungen sind innerhalb eines Jahres fällig.

Eigenkapital

Das Stammkapital beinhaltet das im Handelsregister eingetragene gezeichnete Kapital von 37.500,00 €. Die Einlage ist in voller Höhe erbracht.

Die Kapitalrücklage in Höhe von 329 T€ bleibt unverändert. Es handelt sich dabei um das anteilige Eigenkapital der früheren Competo Media Service GmbH & Co. KG, das den nominalen Wert des neuen Geschäftsanteils (T€ 12,5) im Rahmen der Einbringung zum 1. Januar 2015 überstiegen hat.

Rückstellungen

Unter den "sonstigen Rückstellungen" sind im Wesentlichen Personalrückstellungen mit T€ 75,6 (Vj. T€ 12,1), sowie für Jahresabschlusskosten des Jahres 2023 mit T€ 5 (Vj. T€ 5) ausgewiesen. Steuerrückstellungen waren in Höhe von T€ 65,7 (Vj. T€ 21,5) zu bilden.

Verbindlichkeiten

Verbindlichkeiten in Höhe von T€ 390,0 (Vj. T€ 132) sind innerhalb eines Jahres fällig.
Verbindlichkeiten in Höhe von T€ 0 (Vj. T€ 0) haben eine Restlaufzeit über fünf Jahre.

D. Sonstige Angaben

Die Geschäftsführung und Vertretung der Gesellschaft erfolgte im Berichtsjahr durch Herrn Lothar Bernardy.
