I. Allgemeine Angaben zum Jahresabschluss

Die coparion Komplementär GmbH (coparion) wurde am 1. Dezember 2015 in Form einer Gesellschaft mit beschränkter Haftung nach deutschem Recht gegründet. Die Gesellschaft hat ihren Sitz am Ottoplatz 6, 50679 Köln. Die Gesellschaft wird im Handelsregister am Amtsgericht Köln unter der Abteilung B mit der Registernummer 86135 geführt. Die Gesellschaft erbringt Beratungs- und Verwaltungsdienstleistungen im Bereich des Kapitalbeteiligungsgeschäfts.

Der Jahresabschluss der coparion Komplementär GmbH (coparion) ist hinsichtlich Ansatz, Ausweis und Bewertung nach den Vorschriften der §§ 242 ff. des Handelsgesetzbuchs und des §42 GmbHG aufgestellt. Die Gliederung der Bilanz entspricht dem Gliederungsschema des § 266 Abs. 2 und 3 HGB. Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren des § 275 Abs. 2 HGB gegliedert. Es gelten die Vorschriften für kleine Kapitalgesellschaften. Die Aufstellungserleichterungen für kleine Kapitalgesellschaften sind teilweise in Anspruch genommen worden.

Die Gesellschaft hat ihre operative Geschäftstätigkeit im Jahr 2016 aufgenommen.

II. Bilanzierungs- und Bewertungsgrundsätze

Anteile an verbundenen Unternehmen werden mit ihren Anschaffungskosten angesetzt. Bei einer voraussichtlich dauernden Wertminderung werden außerplanmäßige Abschreibungen vorgenommen, um die Anteile mit dem niedrigeren beizulegenden Wert anzusetzen. Der Zu- oder Abgangszeitpunkt von Anteilen erfolgt anhand des Übergangs des wirtschaftlichen Eigentums auf den Erwerber.

Forderungen und sonstige Vermögensgegenstände sind mit ihrem Nennwert ausgewiesen, soweit keine außerplanmäßigen Abschreibungen auf den niedrigeren beizulegenden Wert vorgenommen wurden.

Zahlungsmittel und Zahlungsmitteläquivalente werden mit ihrem Nominalbetrag bilanziert.

Als aktive Rechnungsabgrenzungsposten sind Ausgaben vor dem Abschlussstichtag angesetzt, soweit sie Aufwand für einen bestimmten Zeitraum nach diesem Zeitpunkt darstellen.

Das Eigenkapital ist zum Nennbetrag angesetzt.

Rückstellungen werden mit dem Erfüllungsbetrag angesetzt, der nach vernünftiger kaufmännischer Beurteilung ermittelt wurde. Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr werden mit dem ihrer Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz abgezinst.

Verbindlichkeiten werden mit ihrem Erfüllungsbetrag passiviert.

III. Erläuterungen zur Bilanz

Die Restlaufzeit der Forderungen ist kleiner als ein Jahr.

Die Verbindlichkeiten aus Lieferungen und Leistungen bestehen mit einer Restlaufzeit von unter einem Jahr.

Die sonstigen Verbindlichkeiten haben eine Restlaufzeit von unter einem Jahr.

IV. Gesellschaftsrechtliche Verpflichtungen

Aufgrund des Gesellschaftsvertrags ist coparion dazu verpflichtet der coparion GmbH & Co. KG, mit Sitz in Köln, einen Anteil der von ihr vorverauslagten Kosten im Zusammenhang mit der laufenden Management- und Verwaltungstätigkeit der coparion für die coparion GmbH & Co. KG zu erstatten. Im Gegenzug ist die coparion GmbH & Co. KG verpflichtet coparion eine Tätigkeitsvergütung für deren Ausgaben aufgrund der laufenden Management- und Verwaltungstätigkeit für die coparion GmbH & Co. KG zu zahlen.

V. Sonstige Angaben

Durchschnittliche Anzahl der im Geschäftsjahr beschäftigten Arbeitnehmer
Die Gesellschaft hat im abgelaufenen Geschäftsjahr durchschnittlich 20 eigene Arbeitnehmer (Vorjahr: 19) beschäftigt. Darin enthalten sind die beiden Geschäftsführer (Vorjahr: 2).
