Anhang

1. Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss auf den 31. Dezember 2023 wurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) in der Fassung des Bilanzrichtlinie-Umsetzungsgesetz (BilRUG) erstellt.

Die Rechnungslegung erfolgte nach Art und Umfang nach den für kleine Kapitalgesellschaften (§ 267 Absatz 1 HGB) maßgeblichen Vorschriften. Teilweise wurden die Darstellungen freiwillig an die Vorschriften für mittelgroße Kapitalgesellschaften angepasst.

Die Gesellschaft ist im Handelsregister beim Amtsgericht Berlin (Charlottenburg), HRB Nr. 94475 B unter der Firma DelPro GmbH eingetragen. Der Sitz der Gesellschaft ist Berlin.

Bei der Bewertung ist von der Fortführung der Unternehmenstätigkeit (§ 252 Absatz 1 Nr. 2 HGB) ausgegangen worden.

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

Im Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden angewendet:

1. Die Immateriellen Vermögensgegenstände sowie das Sachanlagevermögen wurden zu Anschaffungs- bzw. Herstellungskosten unter Berücksichtigung von Anschaffungsnebenkosten und Anschaffungskostenminderungen angesetzt und um planmäßige Abschreibungen vermindert.

2. Die Vermögensgegenstände des abnutzbaren Anlagevermögens wurden unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer linear bzw. degressiv abgeschrieben. Bewegliche Wirtschaftsgüter des Anlagevermögens mit einem Netto-Einzelanschaffungswert von bis zu € 800,00 wurden im Zugangsjahr voll abgeschrieben.

3. Die Finanzanlagen wurden mit den Anschaffungskosten bewertet. Soweit erforderlich, wurde der am Bilanzstichtag vorliegende niedrigere Wert angesetzt.

Für außerplanmäßige Abschreibungen bzw. Zuschreibungen bestand keine Veranlassung.

4. Die Forderungen und sonstigen Vermögensgegenstände sind mit dem Nennwert bewertet.

5. Gegenüber den Gesellschaftern bestehen die nachfolgenden Rechte und Pflichten:

6. Der Kassenbestand und Guthaben bei Kreditinstituten sind zum Nennwert angesetzt.

7. Für Ausgaben, die vor dem Bilanzstichtag geleistet wurden, wirtschaftlich aber eine bestimmte Zeit nach dem Bilanzstichtag betreffen, wurden aktive Rechnungsabgrenzungsposten gebildet.

8. Der Gesamtbetrag, der gemäß § 268 Absatz 8 HGB der Ausschüttungssperre unterliegt, beträgt € 0,00.

9. Die sonstigen Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.

10. Die Verbindlichkeiten sind mit dem Erfüllungsbetrag passiviert.

3. Sonstige Pflichtangaben gemäß § 285 HGB

Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit bis zu 1 Jahr betrug im Vorjahr € 937.441,11 und mit einer Restlaufzeit von mehr als 5 Jahren € 0,00.

Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr beträgt € 877.600,45 sowie die Restlaufzeit mehr als fünf Jahren € 0,00.

Es bestehen sonstige finanzielle Verpflichtungen in Höhe von € 22.365,28.

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 25.

Es besteht ein Beherrschungs- und Gewinnabführungsvertrag vom 26. November 2019 mit der NOX Venture AG.

Geschäftsführer waren im abgelaufenen Geschäftsjahr Herr Thomas Höwekamp und Herr Christian Rücker (§ 285 Nr. 10 HGB).

Die Gesellschaft gehört zum Unternehmen der NOX Venture AG mit Sitz in Berlin (§ 285 Nr. 14a HGB).
