Anhang

I. Allgemeine Angaben

Die edatasystems GmbH hat ihren Sitz in Gelsenkirchen und wird beim Amtsgericht Gelsenkirchen unter der Handelsregisternummer HRB 3822 geführt.

Der vorliegende Jahresabschluss wurde nach den Vorschriften des Handelsgesetzbuchs und des GmbH-Gesetzes aufgestellt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Die Gliederung der aufgestellten Bilanz entspricht dem in § 266 HGB vorgeschriebenen Gliederungsschema.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Entgeltlich erworbene immaterielle Vermögensgegenstände werden zu Anschaffungskosten angesetzt und, soweit abnutzbar, über ihre voraussichtliche Nutzungsdauer abgeschrieben.

Sachanlagen werden zu Anschaffungs- oder Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen werden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von Euro 800,00 wurden im Geschäftsjahr entsprechend der steuerlichen Vorschriften bilanziert.

Vorräte werden bei Zugang mit den Anschaffungs- oder Herstellungskosten bewertet; ist der Zeitwert niedriger, so wird dieser angesetzt.

Forderungen und sonstige Vermögensgegenstände, soweit diese Forderungen darstellen, werden mit dem Nennwert bewertet. Bei zweifelhaften Forderungen werden Einzelwertberichtigungen vorgenommen.

Liquide Mittel werden zum Nennwert angesetzt.

Die aktiven Rechnungsabgrenzungsposten sind in Höhe der abzugrenzenden Beträge angesetzt.

Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt. Dabei wurden alle erkennbaren Risiken und ungewissen Verpflichtungen berücksichtigt. Bei der Schätzung wurde auf Erfahrungswerte zurückgegriffen.

Verbindlichkeiten wurden mit ihrem Erfüllungsbetrag angesetzt. Fremdwährungsverbindlichkeiten werden bei Zugang mit dem Devisenkurs umgerechnet; die Umrechnung am Bilanzstichtag erfolgt zum Devisenkassamittelkurs.

III. Angaben zu einzelnen Posten der Bilanz

Die Entwicklung der Anlagenwerte ist dem beigefügten Anlagenspiegel zu entnehmen.

Im Bilanzgewinn ist ein Gewinnvortrag aus dem Vorjahr in Höhe von Euro 155.452,87 enthalten.

In den Verbindlichkeiten gegenüber verbundenen Unternehmen sind Verbindlichkeiten aus Lieferungen und Leistungen in Höhe von Euro 445.549,63 (Vorjahr Euro 86.871,23) enthalten.

Gegenüber der Gesellschafterin bestehen Verbindlichkeiten in Höhe von Euro 406.805,65 (Vorjahr: Euro 61.951,34).

Die Verbindlichkeiten aus Lieferungen und Leistungen sind im branchenüblichen Umfang durch Eigentumsvorbehalte gesichert.

IV. Sonstige Angaben

Die Zahl der in 2023 durchschnittlich beschäftigten Arbeitnehmer beträgt 48 (Vorjahr 39).

Es bestehen Haftungsverhältnisse gemäß § 251 HGB aufgrund von Bürgschaften für Bankdarlehen verbundener Unternehmen in Höhe von Euro 5.964.085,66 (Vorjahr Euro 6.561.107,93). Die Verpflichtungen sind nicht zu passivieren, da die Kreditnehmer bisher alle fälligen Verpflichtungen planmäßig erfüllt haben und mit einer Inanspruchnahme der Berichtsgesellschaft nicht zu rechnen ist.

Zudem bestehen Verbindlichkeiten aus Gewährleistungsverträgen gemäß § 251 HGB in Höhe von Euro 599.189,25 (Vorjahr Euro 656.176,27). Diese eingegangenen Gewährleistungsverpflichtungen waren nicht zu passivieren, da die zugrunde liegenden Verbindlichkeiten voraussichtlich durch den Hauptschuldner erfüllt werden können. Mit einer Inanspruchnahme unserer Gesellschaft ist daher nicht zu rechnen.

Für die Haftungsverhältnisse bestehen insgesamt werthaltige dingliche Sicherheiten der Muttergesellschaft edataunited GmbH.

Es bestehen zum Bilanzstichtag sonstige finanzielle Verpflichtungen aus Leasingverträgen (sale-and-lease-back) in Höhe von TEuro 96.

Während des abgelaufenen Geschäftsjahres wurden die Geschäfte durch den Kaufmann André Berger, Gelsenkirchen, geführt.

Die Berichtsgesellschaft ist zu 100 % Tochterunternehmen der edataunited GmbH, Gelsenkirchen.
