Allgemeine Angaben
Die Gesellschaft wurde unter dem 17. Juli 2008 errichtet. Die Eintragung im Handelsregister erfolgte am 25. August 2008.
Gegenstand der Gesellschaft ist der Erwerb, die Entwicklung, die Vermietung und Verwertung von Grundstücken sowie die Verwaltung eigenen Vermögens, auch durch Beteiligung an anderen Unternehmen, insbesondere an solchen, die die Errichtung, den Erwerb, die Verwaltung, Vermittlung und Verpachtung von Grundvermögen zum Gegenstand haben. Ebenso sind Gegenstand des Unternehmens alle sonstigen, mit dem vorgenannten Geschäftszweck im Zusammenhang stehende Handelsgeschäfte, Handlungen und Rechts- geschäfte aller Art. Die Gesellschaft kann ferner eine Beteiligung an anderen Unternehmen eingehen.
Das Stammkapital beträgt 25.000,- €
Der vorliegende Jahresabschluss wurde gem. den §§ 242 ff, 264 ff HGB sowie den einschlägigen Vorschriften des Gesellschaftsvertrags aufgestellt.
Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung erfolgte nach den für Kapitalgesellschaften geltenden Vorschriften (§ 264 ff. HGB).
Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren nach § 275 HGB aufgestellt.

Bilanzierungs- und Bewertungsgrundsätze
Für die Erstellung des Jahresabschlusses waren die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.
Die Vermögensgegenstände des Anlagevermögens sind mit den Anschaffungskosten, bewertet.
Außerplanmäßige Abschreibungen wurden nicht vorgenommen.
Die Bewertung der flüssigen Mittel erfolgte zum Nominalwert.
Die Rückstellungen beinhalten alle erkennbaren Risiken und ungewissen Verpflichtungen. Sie sind in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist, um künftig zu erwartende Ausgaben zu decken.
Alle Verbindlichkeiten sind mit ihren Rückzahlungsbeträgen passiviert.

Erläuterungen zur Bilanz
Alle Forderungen haben eine Restlaufzeit von unter 5 Jahren.
Die sonstigen Rückstellungen betreffen zu erwartende Abschluss - und Prüfungskosten.

Ergebnisverwendung
Der Bilanzverlust von 15.459,97 Euro wurde auf neue Rechnung vorgetragen.
Während des abgelaufenen Geschäftsjahres wurden die Geschäfte des Unternehmens durch Frau Sandra Zengerling als alleinvertretungsberechtigte Geschäftsführerin und Herrn Dr. Job von Nell geführt.
Frau Sandra Zengerling war von den Beschränkungen des § 181 BGB befreit.
Seit dem 25. Mai 2011 ist Frau Sandra Zengerling nicht mehr Geschäftsführerin.
Herr Dr. Job von Nell hat mit gleichem Datum die Geschäftsführung übernommen. Er hat die Befugnis, die Gesellschaft allein zu vertreten und darf Rechtsgeschäfte mit sich selbst oder als Vertreter Dritter abschließen.
Mit Datum vom 11. April 2012 wurde Herr Dr. Job von Nell als Geschäftsführer der Gesellschaft abberufen.

Liquidation
Durch Beschluss der Gesellschafterversammlung vom 11. April 2012 ist die Gesellschaft zum 12. April 2012 aufgelöst.
Am 11. April 2012 wurde Herr Marc Laudien zum Liquidator bestellt.
Durch Beschluss der Gesellschafterversammlung vom 15. Dezember 2012 wurde Herr Marc Laudien als Liquidator abberufen.
Herr Clas-Erik von Nottbeck wurde zum neuen Liquidator bestellt.
