I. Allgemeine Angaben und Erläuterungen zum Jahresabschluss

1. Sitz der Gesellschaft ist 35091 Cölbe. Die Gesellschaft ist unter der Nummer HR B 1462 im Handelsregister des Amtsgerichtes Marburg eingetragen.
2. Die Gesellschaft bilanziert nach den handelsrechtlichen Vorschriften für kleine Kapitalgesell-schaften i. S. d. § 267 HGB. Die Gesellschaft gliedert die Gewinn- und Verlustrechnung nach dem Umsatzkostenverfahren.
3. Mit der FORUM Software V GmbH als herrschendem Unternehmen ist am 16.08.2023 ein Beherrschungs- und Gewinnabführungsvertrag abgeschlossen worden. Dieser ist erstmals für das Geschäftsjahr 2023 wirksam.

II. Bilanzierungs- und Bewertungsgrundsätze

4. Die Bilanzierungs- und Bewertungsgrundsätze blieben gegenüber dem Vorjahr unverändert.
5. Die immateriellen Vermögensgegenstände und das Sachanlagevermögen sind zu Anschaffungskosten abzüglich planmäßiger Abschreibungen bewertet. Geringwertige Anlage-güter werden im Jahr des Zugangs voll abgeschrieben oder, sofern im Sammelposten erfasst, über fünf Jahre abgeschrieben. Selbstgeschaffene immaterielle Vermögensgegenstände werden über eine Laufzeit von fünf Jahren abgeschrieben.
6. Die Vorräte sind zu Anschaffungskosten bzw. Herstellungskosten unter Berücksichtigung des Niederstwertprinzips bewertet.
7. Die Forderungen, sonstige Vermögensgegenstände und flüssigen Mittel sind zum Nominalwert bilanziert. Uneinbringliche Forderungen wurden abgeschrieben.
8. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und sind mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt. Rück-stellungen mit einer Restlaufzeit von mehr als einem Jahr wurden gemäß § 253 Abs. 2 HGB abgezinst.
9. Die Verbindlichkeiten sind zu ihrem Erfüllungsbetrag angesetzt.

III. Angaben und Erläuterungen zur Bilanz und zur Gewinn- und Verlustrechnung

10. Die Entwicklung des Anlagevermögens ist aus dem Anlagenspiegel (Blatt 4) ersichtlich. Als Anschaffungs- und Herstellungskosten sind die historischen Werte angesetzt.
11. Sämtliche Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr. In den sonstigen Verbindlichkeiten sind solche aus Steuern in Höhe von T€ 32 (Vorjahr: T€ 29) und im Rahmen der sozialen Sicherheit in Höhe von T€ 5 (Vorjahr: T€ 5) enthalten.
