Anhang

I. Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss für das Geschäftsjahr der Jäger brand & sales GmbH wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt.

Die Gesellschaft hat ihren Sitz in Berngau OT Röckersbühl und ist im Handelsregister Nürnberg unter der Nr. HRB 35543 eingetragen.

Es handelt sich bei der Gesellschaft um eine kleine Kapitalgesellschaft gemäß § 267 Abs. 1 HGB. Die größenabhängigen Erleichterungen gemäß § 274a, § 266 und § 288 HGB wurden teilweise in Anspruch genommen.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Soweit Wahlrechte für Angaben in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang ausgeübt werden können, wurde teilweise ein Vermerk in der Bilanz bzw. in der Gewinn- und Verlustrechnung oder aber teilweise im Anhang gewählt.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Für die Aufstellung des Jahresabschlusses sind die nachfolgenden Bilanzierungs- und Bewertungsmethoden unverändert zum Vorjahr angewandt worden.

Die Vermögensgegenstände des Anlagevermögens (einschließlich immaterieller Anlagewerte) sind zu Anschaffungskosten bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet.

Der aktivierte Geschäfts- / Firmenwert wird mit einer Nutzungsdauer von 15 Jahren abgeschrieben, da dies aufgrund der langjährigen Geschäftsbeziehungen vertretbar ist.

Die planmäßigen Abschreibungen sind entsprechend der betriebsgewöhnlichen Nutzungsdauer linear berechnet. Die Abschreibungsdauer wurde jeweils unter Zugrundelegung der steuerlichen Afa-Tabellen geschätzt.

Die Vorräte wurden mit den Anschaffungs-/ Herstellungskosten oder zu einem niedrigeren beizulegenden Wert am Abschlussstichtag bewertet.

Die Forderungen aus Lieferungen und Leistungen und die sonstigen Vermögensgegenstände sind zum Nennwert unter Berücksichtigung aller erkennbaren Risiken bewertet worden.

Die flüssigen Mittel wurden mit dem Nennbetrag angesetzt.

Die Rechnungsabgrenzungsposten enthalten Ausgaben, die erst im Folgejahr Aufwand werden.

Die sonstigen Rückstellungen wurden nach vernünftiger kaufmännischer Beurteilung bemessen und mit den Erfüllungsbeträgen unter Berücksichtigung erwarteter Preis- und Kostensteigerungen bewertet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Die Verbindlichkeiten wurden mit ihren jeweiligen Erfüllungsbeträgen passiviert.

Posten des Umlaufvermögens und Verbindlichkeiten, die auf fremde Währung lauten, bestanden nicht.

III. Angaben zur Bilanz

Die Forderungen haben wie im Vorjahr eine Restlaufzeit von unter einem Jahr. In den Forderungen sind solche gegenüber verbundenen Unternehmen in Höhe von TEUR 393 enthalten.

Der nicht durch Eigenkapital gedeckte Fehlbetrag zum 31.12.2022 beträgt EUR 271.655,80. Folgen einer bilanziellen Überschuldung konnten durch Rangrücktritte abgewendet werden.

Das Stammkapital beträgt EUR 25.000,00. Es ist voll eingezahlt.

Die Verbindlichkeiten haben wie im Vorjahr eine Restlaufzeit von unter einem Jahr. In den Verbindlichkeiten sind solche gegenüber verbundenen Unternehmen in Höhe von TEUR 894 enthalten. Hierüber wurden Rangrücktritte in Höhe von TEUR 272 erklärt.

Der Gesamtbetrag der Verbindlichkeiten über 5 Jahren beträgt EUR 0,00.

Bei den Verbindlichkeiten aus Lieferungen und Leistungen bestehen die üblichen Eigentumsvorbehalte.

IV. Angaben zur Gewinn- und Verlustrechnung

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren erstellt.

V. Sonstige Angaben

Bilanz, Gewinn- und Verlustrechnung und Anhang geben entsprechend den gesetzlichen Vorschriften grundsätzlich die wirtschaftliche Lage zutreffend wieder.

Im Geschäftsjahr 2022 erfolgte die Geschäftsführung durch:

Herrn Michael Habla, Kümmersbruck, Gesamtgeschäftsführer bis 15.08.2023
Martin Dess, Neumarkt i. d. Opf., Gesamtgeschäftsführer ab 15.08.2023

Bei Martin Dess besteht Einzelvertretungsbefugnis und die Befreiung von den Beschränkungen des § 181 BGB.

Gegenüber dem Gesellschafter bestehen Verbindlichkeiten in Höhe von TEUR 894. Eine Verzinsung der Verbindlichkeiten erfolgte teilweise mit einem Zinssatz von 5%.

In 2022 waren durchschnittlich10 Arbeitnehmer beschäftigt.

VI. Vorschlag zur Ergebnisverwendung

Die Geschäftsführung schlägt in Übereinstimmung mit der Gesellschafterin die folgende Ergebnisverwendung vor:

Der Jahresfehlbetrag in Höhe von EUR 85.195,45 wird zusammen mit dem Verlustvortrag auf neue Rechnung vorgetragen.
