A. Rechtliche Grundlagen

Die Lange Volknant - Management Consulting GmbH wurde mit notariellem Vertrag vom 11. November 2016 UR-Nr.: 845/2016 der Notarin Anne Meyer, 46045 Oberhausen errichtet. Die Eintragung erfolgte im Handelsregister des Amtsgerichtes Duisburg unter HRB 29084.Im Geschäftsjahr 2020 ist der Sitz der Gesellschaft nach Monheim am Rhein verlegt. Das Amtsgericht Düsseldorf führt die Gesellschaft unter HRB 86441. Am 29.08.2024 wurde die Firma umbenannt in KEYE Advisory GmbH und der Sitz nach Ratingen verlegt

Gegenstand des Unternehmens ist die Unternehmensberatung zu allen Aspekten der Unternehmenssteuerung, des Performance Managements, des Controllings, des Informationsmanagements und der Informationswirtschaft sowie der Informations-technologie. Weiterer Gegenstand ist die Entwicklung von Methoden und Software zur Unterstützung von Prozessen im Rahmen zuvor genannter Beratungsfelder sowie Vermarktung und Verkauf hieraus entstehender Ergebnisse.

Das Stammkapital beträgt 36.000,00€.

Die Gesellschafter sind:

a. keYelements GmbH mit Sitz in Monheim am Rhein mit einem Anteil von 86,11 % am Stammkapital

b. Frau Sabine Kalthoff, geb. am 20.06.1960, wohnhaft
Am Alten Bahnhof 36 in 45481 Mülheim an der Ruhr mit einem Anteil von 13,89% am Stammkapital

Geschäftsführer der Gesellschaft sind:

Die Geschäftsführer sind von den Beschränkungen des § 181 BGB befreit.

Das Geschäftsjahr 2023 entspricht dem Kalenderjahr.

Die Gesellschaft hat 18 Beschäftigte.

Die Geschäftsführer wurden in der Gesellschafterversammlung vom 24.11.2023 für das Geschäftsjahr 2022 entlastet.

Die Gesellschaft wird unter der Steuer-Nr. 135/5744/1982 beim Finanzamt Hilden geführt.

D. Angaben zu Bilanzierungs- und Bewertungsmethoden
Der Jahresabschluss der Lange Volknant - Management Consulting GmbH, jetzt KEYE Advisory GmbH, wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des HGB aufgestellt. Im Einzelnen waren dies folgende Grundsätze und Methoden:

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar unter Berücksichtigung planmäßiger Abschreibungen vermindert. Das bewegliche Anlagevermögen wurde nach Maßgabe der jeweils kürzesten, steuerlich für zulässig gehaltenen Nutzungsdauer, in der Regel linear abgeschrieben. Selbständig nutzbare bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von 800,00 € wurden im Zugangsjahr voll abgeschrieben.

Die Forderungen aus Lieferungen und Leistungen wurden unter Berücksichtigung aller erkennbaren Risiken bewertet. Der Ansatz erfolgte zum Nennwert.

Sonstige Vermögensgegenstände sowie der Kassenbestand und die Guthaben bei Kreditinstituten wurden mit dem Nennwert bilanziert. Die Gesellschaft hat dem Geschäftsführer Simon Bäumer, der auch Gesellschafter der keYelements GmbH ist, ein Darlehen über 163,409,39€ (150.000 €) gewährt.

Zur periodengerechten Gewinnermittlung wurden Rechnungsabgrenzungsposten gebildet.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen in angemessener Höhe.

Die Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag passiviert.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Die Lange Volknant - Management Consulting GmbH, jetzt KEYE Advirsory GmbH, ist eine kleine Kapitalgesellschaft i.S. des § 267 HGB und hat als solche bei der Aufstellung des Anhangs von den größenabhängigen Erleichterungen gemäß § 288 HGB größtenteils Gebrauch gemacht; ebenso wurde nach § 264 Abs. 1 HGB auf die Aufstellung eines Lageberichts verzichtet.
