Für das Geschäftsjahr 2024

I. Allgemeine Angaben zum Jahresabschluss
Der Jahresabschluss der Layflat BidCo GmbH, Röttenbach (Amtsgericht Nürnberg, HRB 37342) zum 31. Dezember 2024 ist nach den Rechnungslegungsvorschriften des HGB sowie unter Beachtung der ergänzenden Regelungen des GmbH-Gesetzes aufgestellt.
Die Gesellschaft ist eine kleine Kapitalgesellschaft gemäß §267 Abs. 1 HGB.
Die Gliederung der Bilanz und Gewinn- und Verlustrechnung erfolgte entsprechend den Bestimmungen der § 266 und 275 HGB. Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB gegliedert.
Soweit in der Bilanz oder in der Gewinn- und Verlustrechnung Darstellungswahlrechte bestehen, erfolgen die entsprechenden Angaben weitgehend im Anhang.
Das Geschäftsjahr der Gesellschaft umfasst den Zeitraum vom 01. Januar 2024 2bis 31. Dezember 2024.
Die Wertansätze aus der Bilanz vom 31. Dezember 2023 wurden unverändert übernommen.

II. Bilanzierungs- und Bewertungsmethoden
Die Finanzanlagen sind zu Anschaffungskosten angesetzt.
Die Forderungen und sonstigen Vermögensgegenstände sind zum Nennwert bilanziert. Wertberichtigung sind im Berichtsjahr nicht vorgenommen worden.
Kassenbestand und Guthaben bei Kreditinstituten sind mit dem Nennbetrag bilanziert.
Das gezeichnete Kapital wird zum Nennbetrag bilanziert.
In den sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Sie entsprechen den nach vernünftiger kaufmännischer Beurteilung zu erwartenden Erfüllungsbetrages.
Sämtliche Rückstellungen haben eine Restlaufzeit bis zu einem Jahr.
Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

III. Angaben und Erläuterungen zu einzelnen Posten der Bilanz
Die Finanzanlagen beinhalten in voller Höhe die Beteiligungen an

· SD Marketing Hub Spain, S.L., Barcelona, Spanien
Die Forderungen und sonstige Vermögensgegenstände beinhalten im Wesentlichen Forderungen gegenüber der Saal Digital Fotoservice GmbH für die Gewinnabführung in Höhe von EUR 444324939890275199169623544120.127.924,05444324939UGUwe Glanderwoher kommt diese Zahl?890275199QAQais AswadPrior year figure. Will be updated once SDF numbers are final.1696235441QAQais AswadValue updated, but will remain highlighted yellow until SDF is final., sowie Forderungen gegenüber Gesellschafter in Höhe von EUR 331.530,92.
Die Forderungen haben in voller Höhe eine Restlaufzeit von mehr als einem Jahr.
Das gezeichnete Kapital belief sich zum Bilanzstichtag auf EUR 25.000,00 und ist vollständig eingezahlt.
Die sonstigen Rückstellungen beinhalten den Zinsaufwand für Dezember sowie die Kosten für die Prüfung des Jahresabschlusses 2024.
Die Verbindlichkeiten enthalten Verbindlichkeiten gegenüber Kreditinstituten aus einem Darlehen in Höhe von EUR 50.999.999,98, Verbindlichkeiten gegenüber Gesellschaftern aus einem Darlehen in Höhe von 541437821EUR 62.576.151,96,541437821UGUwe GlanderMüssten das nicht 10m mehr sein - analog der Forderungen der BidCo? @Qais Aswad sowie sonstige Verbindlichkeiten in Höhe von EUR 952.921,66.
Die Verbindlichkeiten haben in Höhe von EUR 968.870,64 eine Restlaufzeit bis zu einem Jahr, sowie in Höhe von EUR 119135860580101435113.576.151,941191358605UGUwe Glandersiehe oben - die Summe der Verbindlichkeiten passt nicht @Qais Aswad 80101435QAQais AswadDone eine Restlaufzeit bis 5 Jahren.
Die Darlehen werden verzinst.
IV. Sonstige Angaben
Während des Geschäftsjahres waren folgende Geschäftsführer bestellt:
