Anhang für das Geschäftsjahr 2021

I. Allgemeine Erläuterungen

Die macio GmbH hat ihren Sitz in Kiel und ist in das Handelsregister beim Amtsgericht Kiel eingetragen (Reg.Nr. HRB 5832).
Bei der Aufstellung des Jahresabschlusses sind die Vorschriften des GmbH-Gesetzes, sowie die des HGB über die Gliederung und den Ausweis der Posten der Bilanz und der Gewinn- und Verlustrechnung für kleine Kapitalgesellschaften beachtet worden.
Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gem. § 275 Abs. 2 HGB gewählt.
Aufgrund des Verschmelzungsvertrages vom 25.10.2021 ist die netico GmbH mit Sitz in Kiel (vormals eingetragen beim Amtsgericht Hamburg (Reg.Nr. HRB 15604) laut Handelsregistereintrag vom 12.11.2021 rückwirkend zum 01.01.2021 durch Übertragung Ihres Vermögens unter Auflösung ohne Abwicklung als Ganzes auf die Gesellschaft verschmolzen.
Bedingt durch diesen Verschmelzungsvorgang sind die Angaben des Jahresabschlusses nicht mit denen des Vorjahres vergleichbar (§ 265 Abs. 2 Satz 2 HGB).

II. Erläuterungen zu Bilanz und Gewinn- und Verlustrechnung

Bilanzierungs- und Bewertungsgrundsätze
Das Anlagevermögen ist zu den Anschaffungs- bzw. Herstellungskosten auf Basis des Vollkostenansatzes abzüglich planmäßiger Abschreibungen bewertet. Dabei wurde auf Zugänge des Jahres 2021 ausschließlich die lineare Abschreibungsmethode auf Basis auch steuerlich zulässiger Nutzungsdauern angewandt. Abschreibungen auf Zugänge des Geschäftsjahres zum Anlagevermögen werden monatsgenau (pro rata temporis) vorgenommen. Vermögensgegenstände mit Anschaffungskosten von bis zu Euro 800,- werden entsprechend den steuerlichen Regelungen sofort in voller Höhe abgeschrieben. Diese Handhabung entspricht auch handelsrechtlich den Grundsätzen ordnungsmäßiger Buchführung.
Im Umlaufvermögen sind unfertige und fertige Erzeugnisse mit den Anschaffungs- bzw. Herstellungskosten auf Vollkostenbasis, ggf. unter Absetzung außerplanmäßiger Abschreibungen auf den niedrigeren Börsen- oder Marktpreis bzw. beizulegenden Wert angesetzt.
Forderungen und sonstige Vermögensgegenstände sind mit den Nominalwerten angesetzt, erkennbare Einzelrisiken werden im Wege von Einzelwertberichtigungen berücksichtigt. Dem allgemeinen Kreditrisiko auf Liefer- und Leistungsforderungen wird durch Bildung einer Pauschalwertberichtigung auf nicht einzelwertberichtigte Posten Rechnung getragen.
Rückstellungen werden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt - Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr werden mit dem der voraussichtlichen Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz der letzten 7 Jahre abgezinst.
Die sonstigen Rückstellungen betreffen im Wesentlichen Aufwendungen für Berufsgenossenschaft, Urlaub, Tantieme und Prämien, Gewährleistung, Archivierung sowie die Erstellung und Prüfung des Jahresabschlusses.
Die ausschließlich entweder verzinslichen oder kurzfristigen Verbindlichkeiten werden zum Rückzahlungsbetrag angesetzt.
Sonstige Erläuterungen
Die Entwicklung des Anlagevermögens sowie die Abschreibungen des Geschäftsjahres sind dem als Anlage beigefügten Anlagenspiegel zu entnehmen.
Der Jahresüberschuss 2021 TEUR 1.291 (TEUR 691) sowie der verbleibende Gewinnvortrag TEUR 406 (TEUR 296) aus dem Vorjahr wurden auf neue Rechnung vorgetragen.
Von den Verbindlichkeiten haben TEUR 13 (TEUR 2.021) eine Restlaufzeit von mehr als 5 Jahren.

Die durchschnittliche Zahl der während des Geschäftsjahrs beschäftigten Arbeitnehmer beträgt 181 (im Vorjahr 170).
