I. Allgemeine Angaben und Erläuterungen zum Jahresabschluss

Die Gesellschaft wird beim Amtsgericht Oldenburg unter der Registernummer HRB 208721 geführt.

Die Gesellschaft weist am Bilanzstichtag einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von 2.351.288,60 EUR auf. Bei der Bewertung wurde von der Fortführung der Unternehmenstätigkeit ausgegangen. Aufgrund des Vorliegens qualifizierter Rangrücktrittserklärungen des Gesellschafters ist eine tatsächliche Überschuldung im insolvenzrechtlichen Sinne nicht gegeben.

a. Angaben zu Bilanzierungs- und Bewertungsgrundsätzen

Die Gliederung und der Ausweis der Posten der Bilanz entsprechen den Vorschriften für kleine Kapitalgesellschaften gemäß § 264a i.V.m. § 267 HGB. Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB aufgestellt. Die Gesellschaft hat von den größenabhängigen Erleichterungsvorschriften gemäß §§ 266 Abs. 1, 274a und 288 HGB teilweise Gebrauch gemacht.

1. Anlagevermögen
Das Anlagevermögen ist zu Anschaffungskosten, einschließlich Anschaffungsnebenkosten nach den handelsrechtlichen Vorschriften bzw. zum niedrigeren beizulegenden Wert bilanziert. Es werden planmäßige Abschreibungen nach der linearen Methode unter Einbezug der betriebsgewöhnlichen Nutzungsdauer vorgenommen. Es wird auf den in der Anlage zum Anhang dargestellten Anlagenspiegel hingewiesen.

2. Forderungen und sonstige Vermögensgegenstände
Die Forderungen und sonstigen Vermögensgegenstände sind zum Nominalwert bzw. zu ihrem niedrigerem beizulegenden Wert angesetzt.

3. Guthaben bei Kreditinstituten
Die Guthaben bei Kreditinstituten entsprechen den Beständen der Kontoauszüge zum Abschluss-stichtag.

4. Rückstellungen
Zur Abdeckung von ungewissen Verbindlichkeiten hat die Gesellschaft in angemessenem Umfang Rückstellungen gebildet. Die Bewertung der Rückstellungen erfolgt gemäß § 253 Abs. 1 HGB mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag. Die voraussichtliche Restlaufzeit der Rückstellungen beträgt weniger als ein Jahr.

5. Verbindlichkeiten
Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt.

b)Bewertungsmaßnahmen
Im Geschäftsjahr 2019 wurde eine außerplanmäßige Abschreibung in Höhe von 50.000,00 EUR wegen der Einstellung der Produktion vorgenommen.

II. Ergänzende Angaben

1. Geschäftsführung

Die Geschäftsführung oblag im Geschäftsjahr 2019 den Geschäftsführer, Herrn Alexander Nikolaus von Löbbecke Freiherr von Girsewald und Herrn Dr. Thomas Kuhmann.

Ist nur ein Geschäftsführer bestellt, vertritt er die Gesellschaft allein. Sind mehrere Geschäftsführer bestellt, so wird die Gesellschaft durch zwei Geschäftsführer oder einen Geschäftsführer gemeinsam mit einem Prokuristen vertreten.

Die Geschäftsführer sind jeweils von den Beschränkungen des § 181 BGB befreit.
