Anhang

Allgemeine Angaben zum Jahresabschluss

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die Bilanz und die Gewinn- und Verlustrechnung sind entsprechend den §§ 266 und 275 Abs. 2 HGB (Gesamtkostenverfahren) gegliedert. Bei der Aufstellung des Anhangs wurde von den größenabhängigen Erleichterungen für kleine Kapitalgesellschaften nach § 288 Satz. 1 HGB Gebrauch gemacht.

Das operative Geschäft der Gesellschaft wurde bereits 2005 eingestellt. Dadurch kann die Going-Concern-Prämisse nicht mehr aufrecht erhalten werden. Eine Umbewertung der Vermögensgegenstände und Schulden zum 31. Dezember 2006 und in den Folgejahren war jedoch nicht notwendig, da nur geldwerte Forderungen und Verbindlichkeiten vorhanden waren.

Erläuterungen zu den Bilanzierungs- und Bewertungsmethoden

Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert bewertet. Das enthaltene Körperschaftsteuerguthaben nach § 37 KStG wurde abgezinst.

Kassenbestände und Guthaben bei Kreditinstituten sind zum Nominalwert ausgewiesen.

Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und sind in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist.

Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.

Erläuterungen zur Bilanz

Die sonstigen Rückstellungen enthalten Kosten für die Erstellung der Steuererklärung 2011 mit TEUR 0,5.

Verbindlichkeiten

Es bestehen keine Verbindlichkeiten mit einer Restlaufzeit von mehr als fünf Jahren.

Folgende Personen waren im Wirtschaftsjahr 2011 zur Geschäftsführung berechtigt:

Die msg systemservice gmbh wird in den Konzernabschluss des msg group Konzerns einbezogen.

Honorar des Abschlussprüfers

Das Gesamthonorar des Wirtschaftsprüfers, aufgegliedert nach seinen Vergütungsbestandteilen für die im einzelnen genannten Tätigkeitsbereiche, gem. § 285 Nr. 17 HGB wird im Konzernabschluss der Muttergesellschaft msg group GmbH angegeben.
