Anhang

I. Allgemeine Angaben zum Unternehmen
Die OMCnet GmbH hat ihren Sitz in Pinneberg und ist im Handelsregister des Amtsgerichts Pinneberg unter HRB 4445 PI eingetragen.

II. Allgemeine Angaben zu Inhalt und Gliederung des Jahresabschlusses
Der vorliegende Jahresabschluss der Gesellschaft ist nach den Vorschriften des Dritten
Buches des HGB (§§ 238 ff. HGB) aufgestellt worden. Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung entspricht den handelsrechtlichen Vorschriften, insbesondere § 266 und § 275 Absatz 2 HGB.

Soweit Wahlrechte für Angaben in der Bilanz oder im Anhang ausgeübt werden können, wurde der Vermerk im Anhang gewählt.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt. Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft. Auf die Aufstellung eines Lageberichts wurde in Ausübung des Wahlrechts nach § 264 Abs. 1 Satz 4 HGB verzichtet.

Bei der Aufstellung des Jahresabschlusses wurden für den Anhang die größenabhängigen Erleichterungen für kleine Kapitalgesellschaften in Anspruch genommen. Im Übrigen erfolgt die Aufstellung des Jahresabschlusses nach den für große Kapitalgesellschaften geltenden Vorschriften.

III. Bilanzierungs- und Bewertungsgrundsätze
Immaterielle Vermögensgegenstände und Sachanlagen werden zu Anschaffungskosten, solche mit zeitlich begrenzter Nutzungsdauer vermindert um planmäßige Abschreibungen, angesetzt. Die Abschreibungen werden linear auf Basis der betriebsgewöhnlichen Nutzungsdauer ermittelt. Geringwertige Wirtschaftsgüter mit Anschaffungskosten von bis zu EUR 800,00 werden im Jahr der Anschaffung voll abgeschrieben. Der aktivierte Geschäftswert wird planmäßig über eine Nutzungsdauer von 15 Jahren abgeschrieben. Unsere Schätzung basiert auf der voraussichtlichen Länge des Lebenszyklus der Produkte und der erwarteten Dauer der Kundenbeziehungen des erworbenen Unternehmens.

Finanzanlagen werden mit den Anschaffungskosten bzw. dem zum Bilanzstichtag niedrigeren beizulegenden Wert angesetzt.

Die Forderungen und sonstigen Vermögensgegenstände sowie die Guthaben bei Kreditinstituten werden zu Nennwerten ausgewiesen. Für das allgemeine Kreditrisiko wird bei den Forderungen aus Lieferungen und Leistungen eine Pauschalwertberichtigung gebildet.

Unter dem aktiven Rechnungsabgrenzungsposten werden Ausgaben vor dem Abschlussstichtag ausgewiesen, soweit sie Aufwendungen für einen bestimmten Zeitraum danach darstellen.

Das gezeichnete Kapital wird in Übereinstimmung mit der Satzung ausgewiesen.

Rückstellungen werden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.

Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.

Unter dem passiven Rechnungsabgrenzungsposten werden Einnahmen vor dem Bilanzstichtag ausgewiesen, soweit sie Erträge für einen bestimmten Zeitraum danach darstellen.

IV. Jahresabschlusserläuterungen
In den Forderungen sind Forderungen gegen Gesellschafter von EUR 405.398,30 (Vorjahr: EUR 386.830,00) enthalten.

Sonstige Vermögensgegenstände von EUR 24.700,00 (Vorjahr: EUR 24.700,00) haben eine Restlaufzeit von mehr als einem Jahr.

In den Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschafter von EUR 24.476,26 (Vorjahr: EUR 18.864,49) enthalten.

Sämtliche Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.

V. Sonstige Angaben
Im Geschäftsjahr waren durchschnittlich zehn Arbeitnehmer beschäftigt.
