Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

Anhang zum 31. Dezember 2010

1. Allgemeine Angaben

Der Jahresabschluss der Participa Solution GmbH für das Geschäftsjahr 2010 ist nach den geltenden Vorschriften des Dritten Buches des Handelsgesetzbuches aufgestellt.

Ergänzend zu diesen Vorschriften wurden die Regelungen des GmbH-Gesetzes beachtet.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren im Sinne des § 275 Abs. 2 HGB gewählt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

2. Bilanzierungs- und Bewertungsgrundsätze

Die Rückstellungen berücksichtigen den voraussichtlichen Aufwand, der im Geschäftsjahr 2010 veranlasst wurde.

Die Verbindlichkeiten sind mit den Rückzahlungsbeträgen in Ansatz gebracht wurden.

Die Bewertung der im Jahresabschluss ausgewiesenen Vermögensgegenstände und Schulden entspricht den handelsrechtlichen Grundsätzen.

Die Verbindlichkeiten haben eine Laufzeit von weniger als einem Jahr.

3. Rechtliche Verhältnisse

Der Gesellschaftsvertrag wurde am 30. Juni 2008 abgeschlossen.

Das Stammkapital beträgt € 25.000,00.
Davon sind € 25.000,00 eingezahlt.

Gesellschafter ist:

WBTM GmbH, Schuhmachergäßchen 1-3, Leipzig                      € 25.000,00

Zum Geschäftsführer ist Herr Thomas Meißner bestellt. Die Eintragung ins Handelsregister beim Amtsgericht Frankfurt (Frankfurt/Main) unter HRB 83731 erfolgte am 19. August 2008.

4. Ergebnisverwendungsvorschläge

Der Geschäftsführer schlägt der Gesellschafterversammlung folgende Ergebnisverwendung vor:
