Anhang für das Geschäftsjahr 2022

I. Allgemeine Angaben

Die RSBG Building Solutions GmbH mit Sitz in Essen ist beim Amtsgericht Essen unter der Registernummer HRB 30608 registriert.

Der Jahresabschluss wurde nach den Vorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt.

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB aufgestellt.

II. Bilanzierungs- und Bewertungsgrundsätze

1. Anlagevermögen

Die Anteile an verbundenen Unternehmen sind mit den Anschaffungskosten oder bei voraussichtlich dauernder Wertminderung mit dem niedrigeren beizulegenden Wert angesetzt.

2. Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennbetrag unter Berücksichtigung angemessener Einzelwertberichtigungen bei erkennbaren Risiken angesetzt. Dem allgemeinen Kreditrisiko wurde durch eine Pauschalwertberichtigung auf die Forderungen aus Lieferungen und Leistungen ausreichend Rechnung getragen.

3. Flüssige Mittel

Der Kassenbestand und die Guthaben bei Kreditinstituten wurden mit dem Nennbetrag bewertet.

4. Rückstellungen

Die Rückstellungen werden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.

5. Verbindlichkeiten

Die Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt.

III. Sonstige Angaben

1. Geschäftsführung

Zu Geschäftsführern der Gesellschaft sind folgende Personen bestellt:

- Frau Astrid Hippeli, Ebern (bis 16.05.2023)

- Herr Ralph Junker, Friedrichsdorf (bis 24.02.2022)

- Herr Dr. Christoph Hofbeck, Dosenheim (ab 23.02.2022 bis 01.06.2022)

2. Ergebnisverwendungsvorschlag

Die Geschäftsführung wird der Gesellschafterversammlung vorschlagen, den Bilanzverlust In Höhe von Euro 34.734.854,11 auf neue Rechnung vorzutragen.

3. Beziehung zu verbundenen Unternehmen

Die Gesellschaft ist eine 100 % Beteiligung der RSBG Value Investments GmbH, Essen, eingetragen im Handelsregister unter HRB 32801 beim Amtsgericht Essen. Die RSBG Value Investments GmbH Ist eine 100 % Beteiligung der RSBG SE, Essen, eingetragen Im Handelsregister unter HRB 29858 beim Amtsgericht Essen.

Die RSBG SE ist von der Pflicht zur Aufstellung eines Konzernabschlusses und Konzernlageberichtes nach § 291 Abs. 2 HGB sowie der Offenlegung im Bundesanzeiger nach § 325 HGB für das Geschäftsjahr 2022 befreit, da sie in den Konzemabschluss der RAG-Stiftung, Essen, einbezogen wird, die den Konzernabschluss für den größten und kleinsten Kreis von Unternehmen aufstellt. Der Konzernabschluss der RAG-Stiftung wird nach handelsrechtlichen Vorschriften aufgestellt und nach § 325 HGB im Bundesanzeiger unter Nummer HR A-Nr. 9004 beim Amtsgericht Essen offengelegt.
