Anhang

Allgemeine Angaben

Die Sales OverDrive GmbH ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

Die Aufstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches für Kaufleute gemäß §§ 238 ff. im Allgemeinen sowie den ergänzenden Vorschriften des Handelgesetzbuches für Kapitalgesellschaften gem §§ 264 ff. im Speziellen.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind insgesamt im Anhang aufgeführt.

Angaben zur Bilanzierung und Bewertung

Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung wurde entsprechend den Vorschriften der §§ 266 sowie 275 Abs. 2 HGB vorgenommen.

Die Vermögens- und Schuldposten sowie die Aufwendungen und Erträge sind den einzelnen Posten des Jahresabschlusses zutreffend zugeordnet worden.

Bei der Bewertung der Vermögens- und Schuldposten wurden die handelsrechtlichen Bewertungsvorschriften der §§ 252 bis 256a HGB beachtet und zwar im Einzelnen nach folgenden Grundsätzen:

Forderungen wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die Forderungen aus Lieferungen und Leistungen sind nach Maßgabe der Bonität zum Nennwert ausgewiesen. Auf die Vornahme von Wertberichtigungen wurde verzichtet.

Die übrigen Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennwert angesetzt.

Die Bilanzierung der Guthaben bei Kreditinstituten erfolgt zum Nennwert.

Der Aktive Rechnungsabgrenzungsposten beinhaltet Ausgaben vor dem Bilanzstichtag, die Aufwendungen für eine bestimmte Zeit nach dem Bianzstichtag darstellen.

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet.

Sie werden aufgrund der im Zeitpunkt der Bilanzaufstellung vorliegenden Erkenntnisse in Höhe der Beträge gebildet, die nach vernünftiger kaufmännischer Beurteilung notwendig sind.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Ein grundlegender Wechsel von Bilanzierungs- und Bewertungsmethoden gegenüber dem Vorjahr fand nicht statt.

Sonstige Angaben

Sämtliche Forderungen haben eine Restlaufzeit von bis zu einem Jahr.

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt EUR 24.841,37 (Vorjahr: EUR 29.427,66).

Es bestehen keine Verbindlichkeiten mit einer Restlaufzeit von über fünf Jahren sowie solche, die durch Pfandrechte oder ähnliche Rechte gesichert sind.

Alleinvertretungsberechtigter Geschäftsführer ist Herr Axel Stett, Königswinter.

Die Forderungen gegenüber der Sales Gesellschaft für Vertrieb mbH betragen EUR 96.289,89 (Vorjahr: EUR 86.251,85).

Die Verbindlichkeiten gegenüber dem Gesellschafter-Geschäftsführer betragen EUR 10.651,34 (Vorjahr: EUR 19.751,15).
