1. Allgemeine Angaben zum Unternehmen

Die Technologiequartier Oldenburg GmbH hat ihren Sitz in Oldenburg. Sie ist im Handelsregister des Amtsgericht Oldenburg unter HR B 212963 eingetragen.

2. Allgemeine Angaben zu Inhalt und Gliederung des Jahresabschlusses

Der Jahresabschluss der Gesellschaft für das Geschäftsjahr 2023 weist die Größenmerkmale einer kleinen Kapitalgesellschaft i. S. d. § 267 Abs. 1 HGB auf und wird gemäß den deutschen handelsrechtlichen Rechnungslegungsvorschriften aufgestellt, wobei die Gliederung der Gewinn- und Verlustrechnung nach dem Gesamtkostenverfahren erfolgt.

Größenabhängige Erleichterungen bei der Erstellung des Jahresabschlusses (§§ 266 Abs. 1, 276, 288 HGB) wurden nicht in Anspruch genommen.

Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind grundsätzlich im Anhang aufgeführt.

3. Bilanzierungs- und Bewertungsmethoden

Die Gesellschaft ist zum 31. Dezember 2023 bilanziell überschuldet. Dem Jahresabschluss zum 31. Dezember 2023 wurde jedoch das Prinzip der Fortführung der Unternehmenstätigkeit zu Grunde gelegt. Dies erfolgt auf Basis der Planungsrechnung für die Jahre 2024 bis 2027 und der erwarteten nachhaltigen positiven Jahresergebnisse unter Berücksichtigung der finanziellen Unterstützung durch die Alleingesellschafterin KDO Service GmbH. Eine Überschuldung im insolvenzrechtlichen Sinne liegt damit nicht vor.

Im Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden angewendet:

Das Sachanlagevermögen ist zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die Vornahme der planmäßigen Abschreibungen erfolgte unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer. Dabei wurde von der nach § 255 Abs. 3 S. 2 HGB gegebenen Möglichkeit der Aktivierung von zum Zweck der Herstellung angefallenen, auf den Zeitraum der Herstellung entfallenen Fremdkapitalzinsen Gebrauch gemacht.

Die Forderungen und Sonstigen Vermögengegenstände sind zum Nennbetrag ausgewiesen.

Guthaben bei Kreditinstituten sind zum Nominalwert bilanziert.

Für Ausgaben, die Aufwand einer nach dem Bilanzstichtag beginnenden Abrechnungsperiode darstellen, wurden aktive Rechnungsabgrenzungsposten gebildet.

Das gezeichnete Kapital ist zum Nennbetrag in Höhe von € 25.000,00 angesetzt.

Der Sonderposten für Investitionszuschüsse zum Anlagevermögen erfolgt für den Zuschuss von 10 Ladesäulen und wird linear über 10 Jahre aufgelöst.

Die sonstigen Rückstellungen werden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt. Die Bewertung der Rückstellungen berücksichtigt auch erwartete Kostensteigerungen.

Die Verbindlichkeiten wurden mit den Erfüllungsbeträgen angesetzt.

4. Erläuterungen zur Bilanz

Anlagevermögen
Das Anlagevermögen wird in dem als auf Seite 3 des Anhangs ausgewiesenen Anlagenspiegel zum 31. Dezember 2023 mit den einzelnen Posten gesondert aufgegliedert und entwickelt (§ 284 Abs. 3 HGB).

Forderungen und sonstige Vermögensgegenstände
Die Forderungen aus Lieferungen und Leistungen haben in Höhe von € 2.856,00 (Vorjahr: € 17.136,00) eine Restlaufzeit von mehr als einem Jahr.

Eigenkapital
Der Jahresabschluss zum 31. Dezember 2023 wurde vor Ergebnisverwendung aufgestellt.

Verbindlichkeiten
Die Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr betragen 579.647,98 € (Vorjahr: 575.963,57 €), von mehr als einem Jahr 11.795.661,10 € (Vorjahr: 12.215.875,31 €) und von mehr als fünf Jahren 10.023.795,61 € (Vorjahr: 10.480.799,18 €).

Sicherheiten für Verbindlichkeiten sind nicht bestellt worden.
Die Verbindlichkeiten gegenüber verbundenen Unternehmen betreffen Verbindlichkeiten gegenüber dem Gesellschafter. Bei den Verbindlichkeiten handelt es sich um sonstige Verbindlichkeiten (Darlehen).

5. Sonstige Pflichtangaben

Sonstige finanzielle Verpflichtungen (§ 285 Nr. 3 HGB)
Über die in der Bilanz ausgewiesenen Verpflichtungen hinaus bestehen folgende finanzielle Verpflichtungen der Gesellschaft:

Angabe zu Anzahl der Arbeitnehmer (§ 285 Nr. 7 HGB)
Im Geschäftsjahr 2023 sind keine Arbeitnehmer beschäftigt gewesen.

Angaben zu den Organen der Gesellschaft (§ 285 Nr. 10 HGB)
Zum Geschäftsführer ist bestellt: Herr Dr. Rolf Beyer, Rastede
Der Geschäftsführer ist von den Beschränkungen des § 181 BGB befreit.

Angaben zum Mutterunternehmen (§ 285 Nr. 14 a HGB)
Die Technologiequartier Oldenburg GmbH ist eine 100%ige Tochter der KDO Service GmbH, Oldenburg.

Ergebnisverwendungsvorschlag (§ 285 Nr. 34 HGB)
