Anhang

1. Allgemeine Angaben zum Unternehmen

Die ubirch GmbH hat Ihren Sitz in Köln. Sie ist im Handelsregister des Amtsgerichts Köln unter HRB 82994 eingetragen.
Die Gesellschafter der ubirch GmbH haben mit dem Wandeldarlehensvertrag vom 5. August 2020 den Rangrücktritt auf ihre Forderungen von insgesamt TEUR 2.509 erklärt. Angesichts des erklärten Rangrücktritts und der im Folgenden aufgeführten Maßnahmen zur Kapitalstärkung liegt nach unserer Einschätzung keine Überschuldung im Sinne von § 19 InsO vor. Zum 31. Dezember 2021 ist die Gesellschaft bilanziell überschuldet, weist aber ein positives wirtschaftliches Eigenkapital (Summe aus Eigenkapital und nachrangigen Verbindlichkeiten gegenüber Gesellschaftern) aus.
Der Jahresabschluss wurde unter Annahme der Unternehmensfortführung (Going-Concern) aufgestellt. Unter der Annahme, dass durch die Gesellschafter der ubirch GmbH und / oder durch weitere externe Kapitalgeber zusätzliche liquide Mittel bereitgestellt werden, ist der Liquiditätsbedarf der Gesellschaft im Prognosezeitraum gesichert. Neben der weiteren Finanzierung ist der Fortbestand der Gesellschaft von der erfolgreichen Umsetzung des Unternehmenskonzeptes und der Generierung entsprechender Umsätze abhängig.

2. Gliederung des Jahresabschlusses

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne der §§ 264, 267 HGB auf.
Der Jahresabschluss für das Geschäftsjahr 2021 wurde nach den Vorschriften des Handelsgesetzbuches (HGB), des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung (GmbHG) und den ergänzenden Bestimmungen des Gesellschaftsvertrages aufgestellt.
Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

3. Bilanzierungs- und Bewertungsmethoden

Die Bilanzierungs- und Bewertungsmethoden gegenüber dem Vorjahr wurden im Grundsatz unverändert beibehalten.
Die erworbenen immateriellen Vermögensgegenstände werden zu Anschaffungskosten, vermindert um planmäßige lineare Abschreibungen, bewertet.
Die beweglichen Sachanlagen werden zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, entsprechend der Betriebsabläufen Nutzungsdauer bewertet. Für geringwertige Wirtschaftsgüter i. S. v. § 6 Abs. 2 EStG wird in entsprechender Anwendung der steuerrechtlichen Vorschriften ein Sammelposten gebildet und abgeschrieben.
Die Forderungen und sonstigen Vermögensgegenstände sind zum Nominalwert ausgewiesen.
Forderungen in fremder Währung werden mit dem Devisenkassamittelkurs am Bilanzstichtag bewertet.
Rückstellungen wurden mit dem Betrag angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist, um die zugrunde liegenden Verpflichtungen zu erfüllen.
Die Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt.

4. Erläuterungen zur Bilanz
ForderungenForderungen aus Lieferungen und Leistungen gegenüber verbundenen Unternehmen bestehen am Jahresende nicht mehr, da die entsprechenden Anteile verkauft wurden (Vj. EUR 287.120,43).
Eigenkapital
Das Stammkapital wurde im Jahr 2021 nicht erhöht. In die Kapitalrücklage wurden im Geschäftsjahr 2021 keine Einstellungen vorgenommen (§ 272 Abs. 2 Nr. 4 HGB).
Wirtschaftliches Eigenkapital
Das wirtschaftliche Eigenkapital umfasst das Eigenkapital und die nachrangigen Gesellschafterdarlehen (die Gesellschafter haben für die Gesellschafterdarlehen eine Rangrücktrittserklärung abgegeben; Eigenkapitalersatzcharakter gemäß InsO § 39 Abs. 1 Nr. 5).

Verbindlichkeiten gegenüber Gesellschaftern (nachrangig): 2.508.600,14

Rückstellungen
Die sonstigen Rückstellungen umfassen im Wesentlichen Rückstellungen für ausstehende Rechnungen und Personalkosten.
Verbindlichkeiten
Von den Verbindlichkeiten gegenüber Gesellschaftern von EUR 2.508.600,14 sind EUR 2.508.600,14 durch Rangrücktrittserklärung nachrangig.
