Allgemeine Angaben

Gegenstand des Unternehmens ist die Prozeßoptimierung und Simulation von logistischen Systemen und Geschäftsprozessen, EDV-Beratung und -Planung, die Softwareherstellung mit Schulung und sonstigen Dienstleistungen sowie Vertrieb und Vermittlung von Hard- und Softwareprodukten.

Die Gesellschaft wurde am 14.01.2009 unter der Nr. HRB 92673 beim Amtsgericht (Registergericht) Hanau eingetragen (vormals HRB 245118 Amtsgericht Stuttgart). Die Gesellschaftsgründung erfolgte durch Vertrag v. vor dem Notar Johannes K. Sauer in Offenbach am Main mit wirtschaftlichem Beginn ab 01.01.2001.

Der Jahresabschluss der SimPlan Solutions GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt.

Bei der erstmaligen Aufstellung des Jahresabschlusses nach dem Bilanzrechtsmodernisierungsgesetz (BilMoG) wurden die Vorjahresvergleichszahlen auf Grund des Wahlrechts des Art. 67 Abs. 8 Satz 2 EGHGB nicht angepasst.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind grundsätzlich insgesamt im Anhang aufgeführt.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Maßnahmen

Bilanzierungs- und Bewertungsgrundsätze

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Für die nach dem Bundesfinanzhof (BFH) im Urteil vom 19.08.2002 (BStBl II 2003 S.131) i.V.m. den Anweisungen der Finanzverwaltung gem. § 249 HGB zu bildende Rückstellung für Archivierungskosten wurde als Schätzung angesetzt.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Gegenüber dem Vorjahr abweichende Bilanzierungs- und Bewertungsmethoden

Beim Jahresabschluss konnten die bisher angewandten Bilanzierungs- und Bewertungsmethoden im Wesentlichen übernommen werden.

Ein grundlegender Wechsel von Bilanzierungs- und Bewertungsmethoden gegenüber dem Vorjahr fand nicht statt.
