Allgemeine Angaben zum Unternehmen

Die Vater ERPteam GmbH mit Sitz in Kiel ist beim Handelsregister unter HRB 7564 eingetragen

Allgemeine Angaben zum Jahresabschluss

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesell- schaft gemäß § 267 Abs.1 HGB auf.

Von den Erleichterungen der §§ 274a, 276 und 288 Abs. 1 HGB wurde teilweise Gebrauch gemacht.

Der Jahresabschluss zum 31.12.2023 wurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes erstellt.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und, sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Die Sachanlagen wurden zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer bewertet. Sofern der beizulegende Wert niedriger ist, wurde dieser angesetzt. Die geringwertigen Wirtschaftsgüter wurden in Anlehnung an die steuerlichen Vorschriften abgeschrieben.

Die Forderungen und sonstigen Vermögensgegenstände wurden mit ihren Nominalbeträgen erfasst. Zweifelhafte Forderungen wurden mit ihrem wahrscheinlichen Wert angesetzt, uneinbringliche Forderungen wurden abgeschrieben. Dem allgemeinen Ausfall- und Kreditrisiko wurde durch eine Pauschalwertberichtigung Rechnung getragen.

Die Rückstellungen und die sonstigen Rückstellungen enthalten alle erkennbaren Risiken und ungewissen Verbindlichkeiten und sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.

Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Angaben zur Bilanz

Bei den Forderungen gegen verbundene Unternehmen handelt es sich auch um Forderungen aus Lieferungen und Leistungen und hinsichtlich des Betrages von € 51.307,91 auch um Forderungen gegen Gesellschafter.

Die Bilanz wurde vor Verwendung des Jahresergebnisses aufgestellt.

Hinsichtlich der Verbindlichkeiten aus Lieferungen und Leistungen bestehen die üblichen Eigentumsvorbehalte.

Bei den Verbindlichkeiten gegenüber verbundenen Unternehmen handelt es sich auch um Verbindlichkeiten aus Lieferungen und Leistungen und hinsichtlich eines Betrages von € 10.401,96 auch um Verbindlichkeiten gegenüber Gesellschaftern.

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit größer einem Jahr beträgt € 0,00 (Vorjahr € 0,00).

Sonstige Angaben

Am Bilanzstichtag bestanden sonstige finanzielle Verpflichtungen aus Miet- und Leasingverträgen von insgesamt rund € 70.000,00. Davon betreffen das nächste Geschäftsjahr rund € 46.000,00.

Im Geschäftsjahr wurden durchschnittlich zehn Arbeitnehmer beschäftigt.

Im Geschäftsjahr 2023 erfolgte die Geschäftsführung durch den Wirtschaftsinformatiker Frank Schröder, den Diplom-Ingenieur Klaus-Hinrich Vater und den Diplom- Betriebswirt Michael Wiese. Die Geschäftsführer Frank Schröder, Klaus-Hinrich Vater und Michael Wiese sind alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit.
Michael Wiese wurde mit Gesellschafterbeschluss vom 16.12.2022 abberufen. Die Eintragung im Handelsregister erfolgte am 06.01.2023.

Konzernzugehörigkeit

Die Vater ERPteam GmbH wird in den Konzernabschluss der Vater Holding GmbH einbezogen.
