With exempt_subsidiary: true the company published the consolidated accounts of parent_organization instead of accounts of its own, so that year's figures cover the whole group.

Anhang für das Geschäftsjahr 2023

A. Allgemeine Angaben zum Jahresabschluss

Die VoltageSquared Carry GmbH & Co. KG, München, ist im Handelsregister des Amtsgerichts München unter HRA 116109 eingetragen.

Der Jahresabschluss wird gemäß §§ 242 ff. und §§ 264 ff. HGB unter Beachtung der rechtsformspezifischen Besonderheiten für Personengesellschaften gemäß § 264a HGB aufgestellt. Die Bestimmungen des § 264c HGB werden beachtet.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Gesellschaft nach § 267 Abs. 1 in Verbindung mit § 264a Abs. 1 HGB auf.

Von der Möglichkeit, Posten zusammenzufassen (§ 265 Abs. 7 HGB), wird kein Gebrauch gemacht.

Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren (§ 275 Abs. 2 HGB) aufgestellt.

Von den Erleichterungsmöglichkeiten des § 288 HGB wird bei der Aufstellung des Anhangs teilweise und bei der Offenlegung des Jahresabschlusses gemäß § 326 HGB vollständig Gebrauch gemacht.

Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind im Anhang aufgeführt.

B. Bilanzierungs- und Bewertungsmethoden

Die Bilanzierungs- und Bewertungsmethoden wurden gegenüber dem Vorjahr unverändert beibehalten.

Die Finanzanlagen werden zu Anschaffungskosten bilanziert, soweit nicht gemäß § 253 Abs. 3 Satz 3 HGB aufgrund voraussichtlich dauernder Wertminderung ein niedrigerer Wert beizulegen ist.

Forderungen und sonstige Vermögensgegenstände werden unter Berücksichtigung des erkennbaren Ausfallrisikos mit dem Nominalbetrag bewertet.

Die liquiden Mittel sind zum Nennwert bewertet.

Das Festkapital (Kommanditkapital) wird gemäß § 272 Abs. 1 Satz 2 in Verbindung mit § 264c Abs. 2 HGB mit seinem Nennbetrag angesetzt.

Bei der Bemessung der Rückstellungen wird möglichen Einzelrisiken angemessen Rechnung getragen. Der Ansatz erfolgt zu dem nach vernünftiger kaufmännischer Erwägung anzusetzenden Erfüllungsbetrag.

Die Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.

C. Angaben zur Bilanz

Forderungen und sonstige Vermögensgegenstände

Sämtliche Forderungen und sonstige Vermögensgegenstände haben, wie im Vorjahr, eine Restlaufzeit von bis zu einem Jahr.

Forderungen gegen Gesellschafter

Die Forderungen und sonstigen Vermögensgegenstände enthalten Forderungen gegen Gesellschafter in Höhe von EUR 112.628,83 (Vorjahr EUR 600,00).

Verbindlichkeiten

Sämtliche Verbindlichkeiten haben, wie im Vorjahr, eine Restlaufzeit von bis zu einem Jahr.

Der Betrag der Verbindlichkeiten gegenüber Gesellschaftern beläuft sich auf EUR 4.375,00 (Vorjahr EUR 2.375,00).

D. Sonstige Angaben

Arbeitnehmer

Im Geschäftsjahr wurden keine Arbeitnehmer beschäftigt.

Sonstige finanzielle Verpflichtungen

Gemäß dem Rechnungslegungsstandard des Instituts der Wirtschaftsprüfer in Deutschland e.V. IDW RS HFA 18 werden die Beteiligungen an Personengesellschaften nur in Höhe der geleisteten Beträge zuzüglich eingeforderter Beträge ausgewiesen. Eine Aktivierung in Höhe der Resteinzahlungsverpflichtung für noch nicht eingeforderte, bedungene Einlagen erfolgt für die Beteiligungen nicht. Die Resteinzahlungsverpflichtungen stellen sonstige finanzielle Verpflichtungen i. S. v. § 285 Nr. 3a HGB dar. Die Resteinzahlungsverpflichtung beträgt zum Stichtag TEUR 27,2.

Persönlich haftende Gesellschafterin und Geschäftsführung

Die Geschäftsführung wird wahrgenommen von der Vsquared Ventures GP I GmbH, München, in der Stellung als alleinige persönlich haftende Gesellschafterin, vertreten durch ihre Geschäftsführer Thomas Oehl, Benedikt von Schoeler sowie Herbert Mangesius. Das gezeichnete Kapital der Gesellschaft beträgt EUR 25.000,00.
