Allgemeine Angaben zum Unternehmen

Die ZILONIS Energy Solutions GmbH hat ihren Sitz in Müschenbach und wird unter der Nummer HRB 26128 beim Registergericht in Montabaur geführt.

Allgemeine Angaben zum Jahresabschluss

Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des HGB.

Die Gesellschaft erfüllt die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne von § 267 Absatz 1 HGB. Der Jahresabschluss besteht daher aus Bilanz, Gewinn- und Verlustrechnung und Anhang.

Die für die Aufstellung des Jahresabschlusses maßgeblichen Ansatz-, Bewertungs- und Gliederungsvorschriften des Handelsgesetzbuches wurden beachtet.

Die Aufstellung der Gewinn- und Verlustrechnung erfolgte nach dem Gesamtkostenverfahren entsprechend dem Gliederungsschema des § 275 Absatz 2 HGB.

Ausleihungen, Forderungen und Verbindlichkeiten gegenüber Gesellschaftern wurden im Anhang ausgewiesen.

Bei der Aufstellung des Anhangs wurde von den Erleichterungen gemäß § 288 Satz 1 HGB in eingeschränktem Umfang Gebrauch gemacht.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Bilanzierungs- und Bewertungsgrundsätze

Entgeltlich erworbene immaterielle Vermögensgegenstände und Gegenstände des Sachanlagevermögens wurden zu Anschaffungs- und Herstellungskosten bewertet und - soweit abnutzbar - planmäßig abgeschrieben.

Bei der Bemessung der Abschreibungen wurde auf die betriebsgewöhnliche Nutzungsdauer abgestellt. Die planmäßigen Abschreibungen wurden innerhalb der betriebsgewöhnlichen Nutzungsdauer linear vorgenommen.

Abnutzbare bewegliche Gegenstände des Anlagevermögens, die einer selbständigen Nutzung fähig sind, werden im Jahr der Anschaffung sofort abgeschrieben, wenn deren Anschaffungskosten EUR 800,00 nicht übersteigen. Die Abschreibung der beiden entgeltlich erworbenen und aktivierten Firmenwerte erfolgt abweichend von § 253 (3) HGB auf eine Nutzungsdauer von 5 Jahren, da es sich um Firmenwerte aus der Übernahme von insolventen Unternehmen handelt.

Vorräte wurden mit den Anschaffungs- und Herstellungskosten bewertet.

Forderungen und sonstige Vermögensgegenstände wurden mit dem Nennwert angesetzt. Uneinbringliche Forderungen wurden abgeschrieben. Im Hinblick auf das latente Ausfallrisiko bei den Forderungen aus Lieferungen und Leistungen wurde eine Pauschalwertberichtigung in Höhe von 1% der Nettoforderungen in Abzug gebracht.

Die liquiden Mittel wurden zum Nominalwert angesetzt.

Die Steuerrückstellungen und die sonstigen Rückstellungen enthalten alle erkennbaren Risiken und ungewissen Verbindlichkeiten und wurden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.

Der Ausweis der erhaltenen Anzahlungen erfolgte nach der Nettomethode.

Die Verbindlichkeiten wurden mit den Erfüllungsbeträgen angesetzt.

Forderungen und sonstige Vermögensgegenstände

Sämtliche Forderungen und sonstige Vermögensgegenstände haben eine Restlaufzeit von weniger als einem Jahr.

Angaben zu Verbindlichkeiten, deren Laufzeiten sowie Sicherheiten

Die Restlaufzeit der Verbindlichkeiten gliedert sich wie folgt:

Restlaufzeit bis 1 Jahr:	EUR 2.596.204,79
Restlaufzeit über 1 Jahr:	EUR 1.163.953,24
davon über 5 Jahre:	EUR 152.777,75

Bei den Verbindlichkeiten aus Lieferungen und Leistungen ist üblicherweise Eigentumsvorbehalt vereinbart.

Verbindlichkeiten gegenüber Kreditinstituten, die durch Pfandrechte oder ähnliche Rechte gesichert sind: EUR 646.459,43 (Vj.: EUR 320.483,29)

Verbindlichkeiten aus sozialer Sicherheit: EUR 773,59 (Vj.: EUR 2.669,02)

Verbindlichkeiten aus Steuern: EUR 22.294,18 (Vj.: EUR 22.444,82)
