Anhang

Allgemeine Angaben

Der vorliegende Jahresabschluss ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff.) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) aufgestellt worden. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

Angaben zur Bilanzierung und Bewertung

Das Anlagevermögen wurde mit den Anschaffungskosten bzw. Herstellungskosten aktiviert. Soweit es sich um abnutzbares Anlagevermögen handelt, wurden die Anschaffungs- und Herstellungskosten um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von 800 Euro wurden im Jahr des Zugangs voll abgeschrieben.

Die Forderungen und sonstigen Vermögensgegenstände sind mit dem Nennwert aktiviert. Zu den Forderungen aus Lieferungen und Leistungen wurden angemessene Wertberichtigungen aktivisch abgesetzt.

Flüssige Mittel wurden zu Nominalwerten angesetzt.

Ansatz und Bewertung der Pensionsrückstellungen erfolgt wie im Vorjahr unter Anwendung der Vorschriften des Bilanzrechtsmodernisierungsgesetzes gemäß § 249 i.V.m. §§ 252 bis 255 HGB. Die Bewertung beruht auf der "Methode der laufenden Einmalprämien" mit einem Rechnungszins von 1,90 % p. a. und unter Anwendung der Richttafeln 2018 G der Heubeck-Richttafeln-GmbH.

Die sonstigen Rückstellungen sind in Höhe der voraussichtlichen Inanspruchnahme für alle ungewissen Verbindlichkeiten passiviert.

Verbindlichkeiten wurden mit dem Rückzahlungsbetrag passiviert.

Angaben und Erläuterungen zur Bilanz

Die Pensionsrückstellung weist die aufgrund eines versicherungsmathematischen Gutachtens ermittelten Verpflichtungen aus Pensionszusagen aus.

Die sonstigen Rückstellungen wurden für Tantiemen, Aufbewahrungsaufwand, Personalkosten wegen nicht genommenem Urlaub und Kosten des Jahresabschlusses gebildet.

Verbindlichkeiten mit einer Restlaufzeit von mehr als 5 Jahren bestehen nicht.

Mit Gesellschafterbeschluss vom 05.05.2023 wurde ein Beherrschungs- und Gewinnabführungsvertrag geschlossen.
Die Eintragung ins Handelsregister erfolgte am 07.06.2023.
