A. ALLGEMEINE ANGABEN
Die MODOX - Modern Documents GmbH hat ihren Sitz in Achern. Sie ist im Handelsregister des Amtsgerichts Mannheim unter der Register-Nummer HRB 716101 eingetragen.

Der Jahresabschluss wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend waren die Vorschriften des GmbH-Gesetzes zu beachten.

Für die Gesellschaft gelten für die Berichtsperiode die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB.

Die Gliederungsvorschriften des § 266 HGB für die Bilanz wurden beachtet. Posten der Bilanz, die weder im Geschäftsjahr noch im Vorjahr einen Betrag ausweisen, wurden gemäß § 265 Abs. 8 HGB nicht angegeben.

B. ANGABEN ZU DEN BILANZIERUNGS- UND BEWERTUNGSMETHODEN
Entgeltlich erworbene immaterielle Vermögensgegenstände des Anlagevermögens, mit Ausnahme geringwertiger Software, sind mit ihren Anschaffungskosten, abzüglich planmäßiger linearer Abschreibungen, angesetzt. Erworbene geringwertige Software wird im Anschaffungsjahr vollständig als Aufwand verrechnet.

Das Sachanlagevermögen ist mit Anschaffungs- oder Herstellungskosten und, soweit abnutzbar, unter Berücksichtigung planmäßiger Abschreibungen bewertet. Die planmäßigen Abschreibungen erfolgen unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer linear.

Außerplanmäßige Abschreibungen auf das immaterielle Anlagevermögen und das Sachanlagevermögen werden vorgenommen, soweit der Ansatz mit einem voraussichtlich dauerhaft niedrigeren Wert erforderlich ist.
Finanzanlagen werden mit den Anschaffungskosten oder gegebenenfalls bei voraussichtlich dauerhafter Wertminderung unter Vornahme außerplanmäßiger Abschreibungen mit dem niedrigeren beizulegenden Wert angesetzt.

Unfertige Erzeugnisse und unfertige Leistungen sowie fertige Erzeugnisse werden mit den Herstellungskosten angesetzt. Hierzu werden die für die einzelnen Projekte bis zum Bilanzstichtag geleisteten Arbeitsstunden mit den zugehörigen Stundensätzen bewertet, bei deren Ermittlung in angemessenem Umfang auch indirekt zurechenbare Gemeinkosten (einschließlich Verwaltungsgemeinkosten) berücksichtigt wurden. Der Ansatz der Waren erfolgt mit den Anschaffungskosten oder niedrigeren Tageswerten. Erhaltene Anzahlungen auf Bestellungen werden gemäß § 268 Abs. 5 Satz 2 HGB mit ihrem Nettowert offen von den Vorräten abgesetzt.

Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert oder niedrigeren Tageswerten unter Berücksichtigung aller erkennbaren Risiken bewertet. Dem allgemeinen Kreditrisiko wird durch die Bildung einer Pauschalwertberichtigung ausreichend Rechnung getragen.

Die flüssigen Mittel sind zum Nennwert am Bilanzstichtag angesetzt.

Die Rückstellungen sind in Höhe des notwendigen Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist, und berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten. Künftige Preis- und Kostensteigerungen wurden bei der Ermittlung berücksichtigt. Rückstellungen mit einer Restlaufzeit von über einem Jahr werden mit dem fristenkongruenten durchschnittlichen Marktzinssatz der vergangenen sieben Geschäftsjahre der deutschen Bundesbank abgezinst.

Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.
Forderungen und Verbindlichkeiten in fremder Währung mit Restlaufzeiten von bis zu einem Jahr werden mit dem Devisenkassamittelkurs am Bilanzstichtag umgerechnet. Alle übrigen Fremdwährungsforderungen und -verbindlichkeiten sind mit dem Kurs am Entstehungstag oder dem niedrigeren bzw. höheren Devisenkassamittelkurs am Bilanzstichtag bewertet.

C. ANGABEN ZUR BILANZ
Wie im Vorjahr haben sämtliche Verbindlichkeiten eine Restlaufzeit von bis zu einem Jahr.

D. SONSTIGE ANGABEN
Sonstige finanzielle Verpflichtungen

Miet- und Leasingverpflichtungen aus mehrjährigen Verträgen: TEUR 211
- davon innerhalb eines Jahres fällig: TEUR 92

Sämtliche Miet- und Leasingverpflichtungen bestehen gegenüber verbundenen Unternehmen.

Mitarbeiterzahl
Im Geschäftsjahr 2023 waren durchschnittlich 15 Arbeitnehmer beschäftigt.

Geschäftsführer der Gesellschaft im abgelaufenen Geschäftsjahr waren:

Der Beruf der Geschäftsführer entspricht der Organstellung.

Haftungsverhältnisse
Die Gesellschaft hat gegenüber der Volksbank Lahr eG zugunsten der NOVELLUS Holding AG und der NOVELLUS Immobilien GmbH & Co. KG Sicherheiten in Form der Globalabtretung der Forderungen sowie der Sicherungsübereignung des Warenlagers bestellt. Darüber hinaus besteht gegenüber der Sparkasse Offenburg/Ortenau eine gesamtschuldnerische Mitverpflichtung für die NOVELLUS Finance GmbH.

Konzernverhältnisse
Mutterunternehmen der MODOX - Modern Documents GmbH, das einen Konzernabschluss für den größten und zugleich den kleinsten Kreis von Unternehmen der Q-FOX® Gruppe aufstellt, ist die NOVELLUS Holding AG, Appenweier. Der Konzernabschluss ist im Unternehmensregister abrufbar.

Ergebnisverwendung
In der Gesellschafterversammlung vom 28.03.2024 wurde beschlossen, den Bilanzverlust in Höhe von EUR 1.737.098,46 auf neue Rechnung vorzutragen.

sonstige Berichtsbestandteile

Bei dem vorstehenden Jahresabschluss handelt es sich um die in Einklang mit § 326 HGB für Offenlegungszwecke verkürzte Fassung des Jahresabschlusses. Ferner wurden für Zwecke der Offenlegung die Erleichterungen für kleine Kapitalgesellschaften in Anspruch genommen, auf deren Inanspruchnahme bei der Aufstellung des Jahresabschlusses teilweise verzichtet wurde.
