I. Allgemeine Angaben

A. Angaben zu den Organen der Gesellschaft

1. Zum Geschäftsführer des Unternehmens wurde Herr Ingo Metzger bestellt. Er ist alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit.
Dies wurde am 08.03.2001 in das Handelsregister eingetragen.

Die Gesellschaft ist zugunsten dieser Person Haftungsverhältnisse gem. § 285 Ziffer 9 c HGB nicht eingegangen.

2. Die Gesellschaft gewährte dem Gesellschafter einen Kredit, der sich im Berichtszeitraum 2023 wie folgt entwickelte:

Ein Darlehensvertrag liegt vor.
Über die Rückzahlung erfolgte keine gesonderte Vereinbarung.
Es erfolgte eine Verzinsung mit 1 % p.a.

B. Allgemeine Angaben zur Bilanz

1. Der Jahresabschluss zum 31.12.2023 wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches und unter Beachtung der Grundsätze ordnungsgemäßer Buchführung aufgestellt. Er vermittelt ein den tatsächlichen Verhältnissen entsprechendes Bild der Vermögens-, Finanz- und Ertragslage der Kapitalgesellschaft. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten. Im Einzelnen waren dies folgende Grundsätze und Methoden:

a) Sachanlagen

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibung vermindert. Die Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechender steuerlicher Vorschriften linear vorgenommen.

Die Geringwertigen Wirtschaftsgüter mit Anschaffungskosten bis € 800,00 wurden 2023 gem. § 4 Abs. 3 Satz 3 EStG sofort abgeschrieben.

b) Vorräte

Die Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

c) Forderungen

Die Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennwert unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die zum 31.12.2023 vorhandenen Forderungen sind alle werthaltig.

d) Liquide Mittel

Die liquiden Mittel wurden zum Nominalwert angesetzt.

e) Gezeichnetes Kapital

Das gezeichnete Kapital wurde zum Nennbetrag angesetzt.

f) Rückstellungen

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Sie betreffen die Abschlusskosten, Tantiemen, nicht genommenen Urlaub sowie Gewährleistungen.

g) Verbindlichkeiten

Verbindlichkeiten wurden zum Rückzahlungsbetrag angesetzt.
