(1) Allgemeine Angaben

Der Jahresabschluss zum 31. Dezember 2011 wurde entsprechend den Vorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Die Gliederung der Bilanz erfolgte gemäß § 266 HGB, für die Gewinn- und Verlustrechnung wurde wie im Vorjahr das Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB zugrunde gelegt.

(2) Erläuterungen zum Jahresabschluss

Die Gegenstände des Sachanlagevermögens sind zu Anschaffungskosten, abzüglich aufgelaufener Abschreibungen, bewertet. Die Abschreibungen werden nach der linearen Methode ermittelt; die Nutzungsdauern liegen zwischen drei und zehn Jahren. Geringwertige Wirtschaftsgüter mit Anschaffungskosten bis zu € 150 in Einzelfall werden entsprechend den steuerlichen Vorschriften im Jahr des Zugangs voll abgeschrieben.

Die unter den Vorräten ausgewiesenen in Arbeit befindlichen Aufträge wurden zu aufgelaufenen Kosten bewertet. Diese beinhalten direkte Personal- und Materialkosten sowie angemessene Gemeinkostenanteile. Die Forderungen und sonstigen Vermögensgegenstände sind zu Rechnungsbeträgen angesetzt. Einzelwertberichtigungen waren nach Auskunft der Geschäftsleitung nicht erforderlich.

Die Forderungen und sonstigen Vermögensgegenstände sind ausnahmslos innerhalb eines Jahres fällig.

Die Rückstellungen betreffen Buchführungs- und Jahresabschlusskosten; sie sind in Höhe der voraussichtlichen Inanspruchnahme bilanziert.

Die Verbindlichkeiten sind zu Rückzahlungsbeträgen angesetzt. Sie beinhalten in Höhe von € 1.147,71 Verbindlichkeiten gegenüber Gesellschaftern.

(3) Ergebnisverwendung

Die Geschäftsführung wird der Gesellschafterversammlung vorschlagen, den zum 31. Dezember 2011 ausgewiesenen Bilanzverlust von € 36.581,28 auf neue Rechnung vorzutragen.

Zum 31. Dezember 2011 wird ein nicht durch Eigenkapital gedeckter Fehlbetrag in Höhe von € 11.016,69 ausgewiesen. Zur Vermeidung einer Überschuldung sind die Gesellschafter mit ihren Forderungen im Rang hinter die Ansprüche der übrigen Gläubiger zurückgetreten. Ferner haben die Gesellschafter selbstschuldnerische Bürgschaften zugunsten von Gläubigern der Gesellschaft abgegeben. In Höhe des noch verbleibenden negativen Kapitals haben sich die Gesellschafter verpflichtet, keine Rückgriffsforderungen im Falle einer Inanspruchnahme aus diesen Bürgschaften gegenüber der Gesellschaft geltend zu machen.
