Anhang

Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss der OA Engineering UG (haftungsbeschränkt) auf den 31. Dezember 2011 wurde erstmals nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) in der Fassung des Bilanzrechtsmodernisierungsgesetzes erstellt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Bilanzierungs- und Bewertungsgrundsätze

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Forderungen wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern.

Die sonstigen Rückstellungen wurden für alle erkennbaren Risiken und ungewissen Verbindlichkeiten gebildet und sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.

Verbindlichkeiten wurden mit den Erfüllungsbeträgen angesetzt.

Gliederung und Bewertung der Bilanz- und GuV-Posten entsprechen den gesetzlichen Vorschriften.

Angaben zur Bilanz

1. Gesetzliche Rücklage

In der Bilanz des nach den §§ 242, 264 des Handelsgesetzbuchs aufzustellenden Jahresabschlusses ist eine gesetzliche Rücklage gem. § 5a GmbHG für die Unternehmergesellschaft haftungsbeschränkt zu bilden. In die Rücklage ist ein Viertel des um eine Verlustvortrag aus dem Vorjahr geminderten Jahresüberschusses einzustellen bis 25.000,00 € erreicht sind.

Sonstige Angaben

1. Geschäftsführung

Im Geschäftsjahr 2011 erfolgte die Geschäftsführung der OA Engineering UG (haftungsbeschränkt) durch Herrn Omid Armaghan, Bergisch Gladbach und Frau Masoumi Nadrabadi, Bergisch Gladbach.

Die Geschäftsführer sind von den Beschränkungen des § 181 BGB befreit.

2. Haftungsverhältnisse nach § 251 i. V. m. § 268 Abs. 7 HGB

Haftungsverhältnisse nach § 251 i. V. m. § 268 Abs. 7 HGB bestanden zum 31.12.2011 nicht.

3. Angaben nach § 42 Abs. 3 GmbHG

Gegenüber den Gesellschafter-Geschäftsführern bestehen zum 31.12.2011 keine Rechte und Pflichten.

4. Sicherheiten

Sämtliche Verbindlichkeiten sind ungesichert.

5. Sonstige finanzielle Verpflichtungen, die nicht in oder unterhalb der Bilanz ausgewiesen sind

Neben den in der Bilanz ausgewiesenen Verbindlichkeiten bestehen keine weiteren Verpflichtungen.
