1 Der Gesellschaftsvertrag wurde am 24. März 2004 vor dem Notar Dr. Dieter Hoffmann, 10627 Berlin, geschlossen (Urkundenrolle Nr. 205/2004).

Der Geschäftssitz der André Koppel Software GmbH befindet sich in 14167 Berlin, Prinz-Handjery-Str. 38.

Die Gesellschaft ist am 03.05.2004 beim Amtsgericht Charlottenburg unter Aktenzeichen HRB 92600 ins Handelsregister eingetragen worden.

2 Gegenstand des Unternehmens ist die Entwicklung und der Vertrieb von integrierter Branchensoftware (INVEP) und von Soft- und Hardware für Steuerungs- und Regelsystemen sowie die Unternehmensberatung, System- und Fehleranalyse, das Projekt- und Mangelmanagement und Individualprogrammierungen, des Weiteren die Erbringung von Internetdienstleistungen und Schulungen.

3 Das Stammkapital der Gesellschaft beträgt 25.000,00 €.

Die Geschäftsanteile werden von Herrn André Koppel, 12205 Berlin (24.500,00 €) und Frau Claudia Schatz, 12205 Berlin (500,00 €) gehalten.

4 Zum Geschäftsführer wurde Herr André Koppel bestellt worden. Der Geschäftsführer ist befugt, die Gesellschaft allein zu vertreten und Rechtsgeschäfte mit sich selbst oder als Vertreter Dritter abzuschließen.

Allgemeine Angaben

5 Der Jahresabschluss der Firma André Koppel Software GmbH ist nach den Vorschriften des Handelsgesetzbuches unter Beachtung des Bilanzmodernisierungsgesetztes, des Bilanzrichtlinien-Umsetzungsgesetzes und des GmbH-Gesetzes aufgestellt worden.

6 Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

7 Die Aufstellung der Bilanz erfolgt vor Berücksichtigung der Gewinnverteilung.

8 Nach den in § 267 HGB angegebenen Größenklassen handelt es sich bei dem Unternehmen um eine Kleinstkapitalgesellschaft.

Bilanzierungs- und Bewertungsmethoden

9. Die Vermögensgegenstände des Anlagevermögens sind mit den Anschaffungskosten - vermindert um planmäßige Abschreibungen - bewertet worden. Den planmäßigen Abschreibungen liegt die lineare Abschreibungsmethode zugrunde. Die Abschreibungsdauer wurde jeweils nach den steuerlichen AfA-Tabellen bzw. der tatsächlichen voraussichtlichen betrieblichen Nutzungsdauer bemessen.

10 Die Bewertung der in Arbeit befindlichen Aufträge erfolgte mit den Herstellungskosten.

11 Die Debitoren wurden mit dem Nennwert angesetzt. Die Forderungenaus Lieferungen und Leistungen gingen vollzählig ein, sind mit Gegenansprüchen zu verrechnen bzw. ab Fälligkeit zu verzinsen.

12 Liquide Mittel sind zum Nennwert angesetzt worden.

13 Die aktiven Rechnungsabgrenzungsposten wurden in Höhe der abzugrenzenden Beträge bewertet.

14 Die mit ihrem Erfüllungsbetrag angesetzten Verbindlichkeiten aus Lieferungen und Leistungensind in voller Höhe ausgeglichen worden und waren ab Fälligkeit zu verzinsen.

15 Rückstellungen wurden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags für alle erkennbaren Risiken und ungewissen Verpflichtungen gebildet.

Erläuterungen zur Bilanz

In Arbeit befindliche Aufträge
16 Hierbei handelt es sich um verschiedene im Jahre 2020 erhaltene Aufträge zur Sicherung, Aufarbeitung, Analyse und Begutachtung von teilweise sehr umfangreichen Datenbeständen/Unterlagen im Zusammenhang mit großen Unternehmensinsolvenzen. Für diese Aufträge sind per 31.12.2020 bereits umfangreiche Dienstleistungen erbracht worden, die jedoch erst danach abgeschlossen/liquidiert werden konnten.

Forderungen gegenüber Gesellschafter
17 Diese Position betrifft ausschließlich Forderungen gegenüber dem Gesellschafter Herrn André Koppel, 12205 Berlin. Das aktivische Verrechnungskonto ist mit 3,0% verzinst worden (s. BF-Konto 2650).

Erhaltene Anzahlungen
18 Diese Position betrifft die im Geschäftsjahr 2020 erhaltenen vertragsgemäßen Zahlungen für Support- und Wartungsleistungen, die erst im Laufe des Folgejahres zu erbringen sind.

Darlehen bis 1 Jahr
19 Hierbei handelt es sich um ein mit 3,0% verzinstes Darlehen eines Geschäftspartners zur Stärkung der kurzfristigen Liquidität.
