I. Allgemeine Angaben zum Jahresabschluss

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 HGB. Die Bilanzierung und Bewertung erfolgte im Rahmen der handelsrechtlichen Vorschriften. Die Gesellschaft macht von den größenabhängigen Erleichterungsvorschriften der §§ 274a, 276 und 288 S. 1 HGB Gebrauch. Die rechtsformspezifischen Bilanzierungsvorschriften für Gesellschaften mit beschränkter Haftung (§ 42 GmbHG ) wurden beachtet.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Anlagevermögen

Das Sachanlagevermögen ist mit Anschaffungs- bzw. Herstellungskosten abzüglich planmäßiger Abschreibungen bewertet. Die planmäßigen Abschreibungen werden entsprechend der betriebsgewöhnlichen Nutzungsdauer nach der linearen Methode berechnet.

Geringwertige Wirtschaftsgüter des Anlagevermögens (150 bis 800 €) werden entsprechend der gültigen steuerlichen Vereinfachungsregelungen in voller Höher im Jahr der Anschaffung abgeschrieben.

Eine Aufgliederung des Anlagevermögens ist dem als Anlage beigefügten Anlagespiegel zu entnehmen.

Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstigen Vermögensgegenstände sind zum Nominalwert bilanziert. Ihre Restlaufzeit - bis auf die Kautionen in Höhe von 19.525,11 EUR - beträgt bis zu einem Jahr.

Forderungen gegenüber verbundenen Unternehmen

Es bestehen Forderungen in Höhe von 1.152.163,63 EUR (VJ: 907.818,27 EUR) gegenüber der Gesellschafterin Mirantis Inc. (USA) mit einer Restlaufzeit bis zu einem Jahr. Die Forderungen stellen Forderungen aus Lieferungen und Leistungen dar (Mitzugehörigkeitsvermerk).

Flüssige Mittel

Die Bewertung der flüssigen Mittel erfolgt zum Nennwert. Zum Bilanzstichtag wurden flüssige Mittel auf Grund einer Übertragung auf ein anderes Kreditinstitut in Höhe von 386.012,86 EUR unter Geldtransit - somit unter den sonstigen Vermögensgegenständen - ausgewiesen.

Aktive Rechnungsabgrenzungsposten

Bei dem aktiven Rechnungsabgrenzungsposten handelt es sich um Ausgaben die vor dem
Abschlussstichtag getätigt wurden und Aufwand in den Folgejahren darstellen.

Sonstige Rückstellungen

Die sonstigen Rückstellungen beinhalten alle erkennbaren Risiken und sind mit dem Erfüllungsbetrag bewertet.

Verbindlichkeiten

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt 324.717,18 EUR
(VJ: 105.801,16 EUR). Davon bestehen Verbindlichkeiten gegenüber verbundenen Unternehmen (Mitzugehörigkeitsvermerk: Verbindlichkeiten aus Lieferungen und Leistungen) in Höhe von 131.397,65 (VJ: 0,00 EUR).

III. Sonstige Angaben

Die durchschnittliche Zahl der Arbeitnehmer für 2023 betrug 28 Personen (VJ: 19 Personen).

Sonstige finanzielle Verpflichtungen ergeben sich aus den Mietverträgen für Gewerberäume in Höhe von TEUR 61,3.
