1.2 Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss wurde nach den Vorschriften der §§ 242 ff. HGB unter der Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften aufgestellt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 HGB. Die Bilanzierung und Bewertung erfolgte im Rahmen der handelsrechtlichen Vorschriften. Die Gesellschaft macht von den größenabhängigen Erleichterungsvorschriften der §§ 274a, 276 und 288 S. 1 HGB Gebrauch. Die rechtsformspezifischen Bilanzierungsvorschriften für Gesellschaften mit beschränkter Haftung (§ 42 GmbHG)wurden beachtet.

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

2.1 Bilanzierungs- und Bewertungsgrundsätze

Die für die Aufstellung des Jahresabschlusses maßgebenden Bilanzierungs- und Bewertungsmethoden sind im Vergleich zum Vorjahr unverändert.

Der Jahresabschluss wurde unter Annahme der Fortführung der Unternehmenstätigkeit gemäß § 252 Abs. 1 Nr. 2 HGB aufgestellt.

2.2 Anlagevermögen

Sachanlagevermögen

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Geringwertige Wirtschaftsgüter des Anlagevermögens (250 bis 800 €) werden entsprechend der gültigen steuerlichen Vereinfachungsregelungen in voller Höhe im Jahr der Anschaffung abgeschrieben.

2.3 Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstige Vermögensgegenstände wurden zum Nennwert bzw. zu ihrem niedrigeren beizulegenden Wert bewertet. Alle erkennbaren Risiken wurden berücksichtigt.

Ihre Restlaufzeit – bis auf die Kautionen in Höhe von 19.525,11 EUR - beträgt bis zu einem Jahr.

Es bestehen Forderungen in Höhe von 1.340.803,54 EUR (VJ: 1.152.163,63 EUR) gegenüber der Gesellschafterin Mirantis Inc. (USA) mit einer Restlaufzeit bis zu einem Jahr. Die Forderungen stellen Forderungen aus Lieferungen und Leistungen dar (Mitzugehörigkeitsvermerk).

2.4 Liquide Mittel

Guthaben bei Kreditinstituten wurden mit dem Nennwert angesetzt.

2.5 Aktive Rechnungsabgrenzungsposten

Die aktiven Rechnungsabgrenzungsposten wurden für Ausgaben vor dem Bilanzstichtag angesetzt, soweit diese Aufwand für eine spätere Periode darstellten.

2.6 Rückstellungen

Die Rückstellungen wurden für alle ungewissen Verbindlichkeiten mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt. Dabei wurden alle erkennbaren Risiken berücksichtigt.

2.7 Verbindlichkeiten

Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt 95.710,23 EUR
(VJ: 324.717,18 EUR)

2.1 Nicht bilanzierte sonstige finanzielle Verpflichtungen

Neben den in der Bilanz ausgewiesenen Verbindlichkeiten bestehen in Höhe von TEUR 83,2 sonstige finanzielle Verpflichtungen. Diese ergeben sich aus den Mietverträgen für Gewerberäume.

3. Sonstige Angaben

3.1 Durchschnittliche Zahl der während des Geschäftsjahrs beschäftigten Arbeitnehmer

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 25,00 (VJ: 28,00 Personen).
