A. Allgemeine Angaben

Die Gesellschaft HiPeople GmbH hat ihren Sitz in Berlin und ist unter der Nummer HRB 211492 im Register des Amtsgerichtes Berlin (Charlottenburg) eingetragen.

Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinie-Umsetzungsgesetz (BilRUG).
Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 Abs. 1 HGB. Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung erfolgte unter Beachtung der gesetzlichen Vorschriften, insbesondere der §§ 266 und 275 HGB sowie § 42 GmbHG, wobei für die Gliederung der Gewinn- und Verlustrechnung das Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB Anwendung findet.
Die bei einzelnen Posten der Bilanz und der Gewinn- und Verlustrechnung gesetzlich vorgeschriebenen Vermerke sowie Angaben und Hinweise, die wahlweise in der Bilanz und der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, wurden grundsätzlich im Anhang vorgenommen.

Die Bilanzierungs- und Bewertungsmethoden wurden unverändert beibehalten.

Die Erstellung des Jahresabschlusses erfolgt unter der Annahme der Unternehmensfortführung (§ 252 Abs. 1 Nr. 2 HGB). Die Gesellschaft hat in der Vergangenheit sowie im aktuellen Geschäftsjahr keine nachhaltigen Gewinne erzielt, sodass sich zum Bilanzstichtag ein nicht durch Eigenkapital gedeckter Fehlbetrag in Höhe von TEUR 1.936 ergibt. Es handelt sich dabei um planmäßige Verluste, die sich durch den Markteintritt des jungen Unternehmens ergeben. Der hierfür erforderliche Liquiditätsbedarf wurde bisher durch die Gesellschafter sowie Investoren gedeckt. Die Gesellschaft ist im Prognosezeitraum von der erfolgreichen Umsetzung des Unternehmenskonzeptes und der Generierung entsprechender Umsatzerlöse sowie der Bereitstellung externer liquider Mittel durch Investoren oder Gesellschafter abhängig. Sofern diese Ereignisse nicht wie geplant eintreten sollten, wäre der Bestand der Gesellschaft gefährdet.

B. Angaben und Erläuterungen zu Posten der Bilanzund der Gewinn- und Verlustrechnung

I. Bilanzierungs- und Bewertungsmethoden

Ansatz und Bewertung der in der Bilanz ausgewiesenen Posten erfolgte nach folgenden Grundsätzen:
Entgeltlich erworbene immaterielle Vermögensgegenstände werden mit den Anschaffungskosten, vermindert um die planmäßigen Abschreibungen, bewertet.

Die Vermögensgegenstände des Sachanlagevermögens werden zu Anschaffungs- oder Herstellungskosten abzüglich planmäßiger Abschreibung bewertet.

Abschreibungen erfolgen planmäßig auf der Grundlage der steuerlichen Abschreibungssätze nach der linearen Abschreibungsmethode.

Für geringwertige Anlagegüter mit Einzelanschaffungskosten bis € 800,00 wird die Bewertungsfreiheit gem. § 6 Abs. 2 EStG in Anspruch genommen.

Forderungen und sonstige Vermögensgegenstände werden mit dem Nennbetrag, vermindert um Wertberichtigungen und unter Beachtung des Niederstwertprinzips angesetzt.
Guthaben bei Kreditinstituten sowie der Kassenbestand werden zum Nominalwert angesetzt.

Die Rechnungsabgrenzungsposten wurden nach den Vorschriften des § 250 HGB gebildet.
Rückstellungen werden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Verbindlichkeiten werden mit dem Erfüllungsbetrag bilanziert.

Die im Jahresabschluss enthaltenen Posten, denen Beträge zugrunde liegen, die auf fremde Währung lauten oder ursprünglich auf fremde Währung lauteten, wurden mit aktuellen Zugangskursen im Zeitpunkt des Erwerbs erfasst. Am Abschlussstichtag wurden die Regeln des § 256a HGB beachtet.
