Anhang für das Geschäftsjahr 2024

I. Allgemeine Hinweise

Die Gesellschaft hat ihren Sitz in Berlin und ist im Handelsregister Berlin (Charlottenburg) unter HRB 186692 B unter der Firma ShiftLeft GmbH eingetragen.

Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und §§ 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrags aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

Der Jahresabschluss ist vor Verwendung des Jahresergebnisses aufgestellt worden.

Die Gliederung der Bilanz entspricht den § 266 HGB sowie § 42 GmbHG. Von der Möglichkeit der verkürzten Bilanzdarstellung gemäß § 266 Abs. 1 Satz 3 HGB wird Gebrauch gemacht.

Die Aufstellung des Anhangs erfolgte unter teilweiser Inanspruchnahme der größenabhängigen Erleichterungen gem. § 288 Abs. 1 HGB.

Das Geschäftsjahr entspricht dem Kalenderjahr.

II. Bilanzierungs- und Bewertungsmethoden

Der Jahresabschluss wurde unter Annahme der Fortführung der Unternehmenstätigkeit gemäß § 252 Abs. 1 Nr. 2 HGB aufgestellt.

Für die Aufstellung des Jahresabschlusses waren unverändert die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.

Die Bilanzgliederung wurde gegenüber dem Vorjahr nicht geändert.

Das Sachanlagevermögen wird zu Anschaffungskosten, vermindert um planmäßige, nutzungsbedingte Abschreibungen, angesetzt. Die Abschreibungen erfolgen über die betriebsgewöhnliche Nutzungsdauer und werden nach der linearen Methode vorgenommen.

Die Anschaffungs- oder Herstellungskosten für geringwertige Wirtschaftsgüter im Berichtsjahr mit einem Wert von bis zu EUR 800,00 wurden im Jahr der Anschaffung oder Herstellung vollständig in Abzug gebracht.

Forderungen und sonstige Vermögensgegenstände sind zum Nennwert bzw. ihrem niedrigeren beizulegendem Wert am Bilanzstichtag bewertet.

Kassenbestand sowie Guthaben bei Kreditinstituten sind mit dem Nennwert angesetzt.

Die aktiven Rechnungsabgrenzungsposten betreffen geleistete Zahlungen für Aufwendungen in Folgejahren und sind zu Nennwerten bilanziert.

Das gezeichnete Kapital ist zum Nennbetrag angesetzt.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und wurden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Verbindlichkeiten sind mit ihrem Erfüllungsbetrag angesetzt.

Die passiven Rechnungsabgrenzungsposten betreffen Zahlungseingänge für Erträge in Folgejahren.

III. Erläuterungen zur Bilanz und zur Gewinn- und Verlustrechnung

Der Betrag der Forderungen und sonstigen Vermögensgegenstände mit einer Restlaufzeit größer einem Jahr beträgt EUR 11.700,00 (Vorjahr: EUR 11.700,00).

In den Forderungen und sonstigen Vermögensgegenständen sind Forderungen gegen verbundene Unternehmen bzw. Gesellschafter in Höhe von EUR 161.368,10 (Vorjahr: EUR 162.517,22) enthalten.

Das Stammkapital in Höhe von EUR 25.000,00 wurde in voller Höhe einbezahlt.

Die Steuerrückstellungen sind in Höhe des voraussichtlichen Anfalls aufgrund des steuerlichen Gewinns dotiert.

Die sonstigen Rückstellungen setzen sich wie folgt zusammen:

Die Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr betragen EUR 24.019,69 (Vorjahr: EUR 32.135,16).

Das EU-Projekt "TESTABLE" läuft über den Zeitraum vom 1. September 2021 bis zum 31. August 2024. Für die gesamte Projektlaufzeit wurden bereits Fördermittel in Höhe von insgesamt EUR 367.500,00 bewilligt, die für die Laufzeit ab 1. Januar 2023 über den passiven Rechnungsabgrenzungsposten abgegrenzt worden sind.
