I. Allgemeine Angaben zum Unternehmen

Die 365 Sherpas GmbH hat Ihren Sitz in Berlin. Sie ist im Handelsregister des Amtsgerichts Berlin (Charlottenburg) unter 154324 eingetragen.

II. Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss der 365 Sherpas GmbH, Berlin, zum 31. Dezember 2023 wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Sie hat bei der Aufstellung des Jahresabschlusses von den größenabhängigen Erleichterungen für kleine Kapitalgesellschaften gemäß § 288 Abs. 1 HGB Gebrauch gemacht.

Angaben, die wahlweise in der Bilanz oder im Anhang gemacht werden können, sind überwiegend im Anhang aufgeführt.

III. Angaben zu Bilanzierungs- und Bewertungsmethoden

Für die Aufstellung des Jahresabschlusses waren im Wesentlichen die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.

Erworbene immaterielle Vermögensgegenstände des Anlagevermögens sind zu Anschaffungs- bzw. Herstellungskosten bilanziert und werden, sofern sie der Abnutzung unterliegen, entsprechend ihrer Nutzungsdauer um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen ist zu Anschaffungs- bzw. Herstellungskosten angesetzt und wird, soweit abnutzbar, um planmäßige Abschreibungen vermindert. I

Für Wirtschaftsgüter mit Anschaffungs- oder Herstellungskosten von € 250 bis € 1.000 wurde entsprechend § 6 Abs. 2a EStG ein Sammelposten gebildet.

Bei den Finanzanlagen werden die Anteilsrechte und Wertpapiere zu Anschaffungskosten bzw. niedrigeren beizulegenden Werten und die Ausleihungen grundsätzlich zum Nennwert angesetzt.

Die unfertigen Leistungen werden zu Anschaffungs- und Herstellungskosten bzw. zu den niedrigeren Tageswerten angesetzt.

In allen Fällen wurde verlustfrei bewertet, d. h. es wurden von den voraussichtlichen Verkaufspreisen Abschläge für noch anfallende Kosten [und angemessenen Gewinn] vorgenommen.

Forderungen und sonstige Vermögensgegenstände sind zum Nennwert angesetzt. Allen risikobehafteten Posten ist durch die Bildung angemessener Einzelwertberichtigungen Rechnung getragen; das allgemeine Kreditrisiko ist durch pauschale Abschläge berücksichtigt.

Flüssige Mittel werden zu Nominalwerten angesetzt (§ 253 Abs. 1 HGB).

Der aktive Rechnungsabgrenzungsposten betrifft Ausgaben vor dem Abschlussstichtag, die Aufwand für eine bestimmte Zeit nach diesem Tage darstellen; die Auflösung des Postens erfolgt linear entsprechend dem Zeitablauf.

Die Steuerrückstellungen sind den Grundsätzen vernünftiger kaufmännischer Beurteilung in Höhe der voraussichtlichen Inanspruchnahme gebildet.

Die sonstigen Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten und drohenden Verluste aus schwebenden Geschäften. Sie sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags (d. h. einschließlich zukünftiger Kosten- und Preissteigerungen) angesetzt.

Die Verbindlichkeiten sind gemäß § 253 Abs. 1 Satz 2 HGB mit dem Erfüllungsbetrag angesetzt.

IV. Angaben zur Bilanz

Umlaufvermögen

Die ausgewiesenen Forderungen und sonstigen Vermögensgegenstände haben in Höhe von € 0,00 (Vorjahr: T€ 0) eine Restlaufzeit von mehr als einem Jahr.

Die Forderungen gegen verbundene Unternehmen sind in Höhe von € 208.772,94 (Vorjahr: T€ 144) Forderungen gegen Gesellschafter.

Verbindlichkeiten

Sämtliche Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr.

Zum Abschlussstichtag bestanden folgende Haftungsverhältnisse in T€:

Aufgrund des mit der Hirschen Group GmbH, Hamburg geschlossenen Cash Pooling Vertrages haftet die Gesellschaft zusammen mit anderen am Cash Pooling teilnehmenden Gesellschaften für in Anspruch genommene Kreditlinien der Hirschen Group GmbH.

Am 31.12.2023 betrug die in Anspruch genommene Kreditlinie T€ 0 (Vorjahr: T€ 0).

V. Sonstige Angaben

Im Geschäftsjahr wurden durchschnittlich 46 Mitarbeiter (Vorjahr: 49) beschäftigt, davon 46 Angestellte (Vorjahr: 49).

Im Geschäftsjahr 2023 erfolgte die Geschäftsführung durch die Geschäftsführer:
Cornelius Winter, Jan Böttger, Dr. Daniel Wixforth, Cornelia Göbel (bis 16.6.2023) und Antonia Meyer (ab 16.6.2023).

Konzernverhältnisse

Der Jahresabschluss wird in den Konzernabschluss der Hirschen Group GmbH einbezogen.

Gewinnverwendung/Gewinnverwendungsvorschlag

Die Geschäftsführung schlägt vor, den Bilanzgewinn von € 654.036,81 auf neue Rechnung vorzutragen.
