I. Allgemeine Angaben zu Inhalt und Gliederung des      Jahresabschlusses für das Geschäftsjahr 2023

Der Jahresabschluss ist unter Beachtung der Grundsätze ordnungsgemäßer Buchführung aufgestellt und vermittelt ein den tatsächlichen Verhältnissen entsprechendes Bild. Die Gesellschaft beachtete bei der Aufstellung des Jahresabschlusses hinsichtlich der Bilanzierung, der Bewertung und des Ausweises die Vorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinien-Gesetzes sowie des Gesellschaftsvertrages.
Die Gliederung der Bilanz entspricht den §§ 265, 266 HGB, die Gliederung der Gewinn- und Verlustrechnung dem § 275 HGB.

Die Gesellschaft firmiert unter der Firma: A-Z TeleCom Partner GmbH mit Sitz in Bielefeld.
Registergericht ist das Amtsgericht Bielefeld. Die Gesellschaft ist unter der Nummer HRB 34578 in das Handelsregister eingetragen.

II. Grundsätze der Bilanzierung und Bewertung

1. Bilanzierungsmethode

Der Jahresabschluss für das Geschäftsjahr 2023 enthält alle bilanzierungspflichtigen Vermögensgegenstände, Verbindlichkeiten und Rechnungsabgrenzungsposten. Aufwendungen und Erträge wurden periodengerecht abgegrenzt.

Posten der Aktivseite wurden nicht mit Posten der Passivseite, Erträge nicht mit Aufwendungen saldiert.

Rückstellungen wurden entsprechend § 249 Abs. 1 Satz 1 HGB passiviert.

2. Bewertungsmethode

Die Vermögensgegenstände sind einzeln bewertet worden.

Bei den Gegenständen des Umlaufvermögens wurde dem Niederstwertprinzip Rechnung getragen.

Die Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennwert oder mit dem am Bilanzstichtag beizulegenden Wert angesetzt.

Für ungewisse Verbindlichkeiten wurden Steuerrückstellungen und sonstige Rückstellungen gem. § 249 Abs. 1 Satz 1 HGB gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Verbindlichkeiten aus Lieferungen und Leistungen sowie sonstige Verbindlichkeiten sind mit den Rückzahlungsbeträgen angesetzt worden (§ 6 EStG, § 253 Abs. 1 Satz 2 HGB).

Die Pensionsverpflichtung zum 31.12.2023 ist nach § 253 Abs. 1 HGB mit dem notwendigen Erfüllungsbetrag angesetzt worden.

Es wurden folgende Annahmen für die Berechnung berücksichtigt:

Rechnungszins 1,82 % p.a. (Erfüllungsbetrag 10-Jahresdurchschnittszinssatz).

Der Unterschiedsbetrag zum Stichtag 31.12.2023 beträgt zwischen dem Erfüllungsbetrag mit dem 10-Jahresdurchschnittszinssatz und dem 7-Jahresdurchschnittszinssatz 5.978,00 €.

Gewinne dürfen nur ausgeschüttet werden, wenn die nach der Ausschüttung verbleibenden frei verfügbaren Rücklagen zzgl. eines Gewinnvortrags und abzgl. eines Verlustvortrags mindestens diesem Unterschiedsbetrag entsprechen.

III. Erläuterungen zum Jahresabschluss

Zur Zusammensetzung und Entwicklung der einzelnen Bilanz- und GuV-Positionen wird auf den Erläuterungsteil verwiesen.

Die Forderungen, sonstigen Vermögensgegenstände sowie die ausgewiesenen Verbindlichkeiten mit einer Laufzeit von mehr als 1 Jahr bzw. bis zu 1 Jahr ergeben sich aus der Bilanz.

Es bestehen Verbindlichkeiten gegenüber Gesellschaftern in Höhe von 154.972,00 € (Vorjahr 251.871,27 €).

Die durchschnittliche Zahl der Mitarbeiter gem. § 267 Abs. 5 HGB betrug im Geschäftsjahr 2023 15 Arbeitnehmer (Vorjahr 15 Arbeitnehmer).

IV. Sonstige Angaben

Alleinvertretungsberechtigter Geschäftsführer der Gesellschaft war in 2023 Herr André Fischer.
