Anhang für das Geschäftsjahr 2023

I. Allgemeine Angaben

Die Plan.One GmbH (im Folgenden auch kurz: Plan.One) ist gemäß § 267 Abs. 1 HGB eine kleine Kapitalgesellschaft. Die Gesellschaft hat ihren Sitz in Bielefeld und ist unter der Handelsregister-Nr. HRB 43174 beim Amtsgericht Bielefeld registriert.

Der Jahresabschluss der Gesellschaft für das Geschäftsjahr 2023 wurde nach den Vorschriften des Handelsgesetzbuches für kleine Kapitalgesellschaften im Sinne von § 267 HGB und des GmbH-Gesetzes erstellt. Dabei wurden die Aufstellungserleichterungen des § 264 Abs. 1 Satz 4 HGB in Anspruch genommen und auf die Aufstellung des Lageberichts verzichtet.

Die Gliederung der Bilanz erfolgte entsprechend § 266 Abs. 2 HGB.

II. Bilanzierungs- und Bewertungsgrundsätze

Die Bilanzierungs- und Bewertungsmethoden entsprechen den handelsrechtlichen Vorschriften.

Entgeltlich erworbene immaterielle Vermögensgegenstände werden zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, bewertet. Als Nutzungsdauer werden vier bis fünf Jahre zugrunde gelegt.

Das Sachanlagevermögen wird zu Anschaffungskosten aktiviert und planmäßig linear abgeschrieben. Die Nutzungsdauer beträgt bei den anderen Anlagen, Betriebs- und Geschäftsausstattung vier bis 13 Jahre.

Die Forderungen und sonstigen Vermögensgegenstände werden zum Nennwert bilanziert. Sie werden wertberichtigt, wenn ihr Ausgleich am Abschlussstichtag ungewiss oder gefährdet ist.

Die aktiven Rechnungsabgrenzungsposten enthalten die vor dem Abschlussstichtag gebuchten Ausgaben, die ein späteres Geschäftsjahr betreffen.

Das gezeichnete Kapital ist zum Nennbetrag angesetzt.

Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten. Sie werden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.

Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr werden mit dem ihrer Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz der vergangenen sieben Jahre abgezinst.

Die Verbindlichkeiten sind zum Erfüllungsbetrag passiviert.

Die passiven Rechnungsabgrenzungsposten enthalten die vor dem Abschlussstichtag gebuchten Erträge, die ein späteres Geschäftsjahr betreffen.

III. Bilanzerläuterungen

Die Forderungen und sonstigen Vermögensgegenstände haben wie im Vorjahr eine Restlaufzeit von unter einem Jahr. Die Forderungen gegen verbundene Unternehmen sind ausschließlich gegen Gesellschafter und resultieren aus Lieferungen und Leistungen.

Die sonstigen Rückstellungen berücksichtigen den Personalbereich.

Es bestehen wie im Vorjahr keine Verbindlichkeiten mit einer Laufzeit von mehr als einem Jahr oder solche, die durch Pfandrechte oder ähnliche Rechte besichert sind.

Bei den Verbindlichkeiten gegenüber verbundenen Unternehmen handelt es sich um Verbindlichkeiten gegenüber der Schüco International KG, Bielefeld.

IV. Sonstige Angaben

Die Gesellschafterin Schüco International KG, Bielefeld, hat sich, zur Abwendung einer Zahlungsunfähigkeit, gegenüber der Gesellschaft in einem Schreiben vom 15. April 2024 verpflichtet, auf die Liquidation bestehender Finanzforderungen zu verzichten.

Die Schüco International KG, Bielefeld, verpflichtet sich zur Leistung fortlaufender finanzieller Unterstützung, wodurch die Gesellschaft in die Lage versetzt wird, ihren Betrieb fortzusetzen und ihren Verbindlichkeiten und Verpflichtungen bei Fälligkeit nachzukommen. Diese Zusage gilt für einen Zeitraum von 14 Monaten ab Ausstellungsdatum des Schreibens.

Die Berichtsgesellschaft ist im Rahmen einer umsatzsteuerlichen Organschaft in das Unternehmen der Schüco International KG, Bielefeld (Organträger), eingegliedert.

Die Gesellschaft beschäftigte im Geschäftsjahr 2023 durchschnittlich 26 (i. Vj. 35) Mitarbeiter.

Gesamtvertretungsberechtigte und von den Beschränkungen des § 181 BGB 2. Alternative befreite Geschäftsführer waren im Geschäftsjahr 2023:

―	Patric De Hair, Bielefeld.

Die Mitglieder der Geschäftsführung haben für ihre Tätigkeit keine Bezüge von der Gesellschaft erhalten.

Die Gesellschaft wird in den Konzernabschluss der OTTO FUCHS Beteiligungen KG, Meinerzhagen, HRA 2592 Amtsgericht Iserlohn, einbezogen. Mutterunternehmen für den kleinsten Konsolidierungskreis ist die Schüco International KG, Bielefeld (unmittelbares Mutterunternehmen). Mutterunternehmen für den größten Konsolidierungskreis ist die
OTTO FUCHS Beteiligungen KG, Meinerzhagen (oberstes Mutterunternehmen). Die Schüco International KG wird in den befreienden Konzernabschluss der OTTO FUCHS Beteiligungen KG einbezogen. Konzernabschluss und Konzernlagebericht der OTTO FUCHS Beteiligungen KG werden nach § 325 HGB beim Betreiber des Unternehmensregisters elektronisch eingereicht und dort offengelegt.
