A. Allgemeine Angaben zum Jahresabschluss

Die Dr. Wallner Engineering 3D-CAD/CAE & PDM Consulting GmbH hat ihren Sitz in 71034 Böblingen und ist eingetragen in das Handelsregister beim Amtsgericht Stuttgart unter der Nummer HRB 244883.

Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinie-Umsetzungsgesetz (BilRUG).

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne der §§ 264, 267 Abs. 1 HGB auf. Der Jahresabschluss umfasst somit die Bilanz, die Gewinn- und Verlustrechnung und den Anhang. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren aufgestellt.

B. Angaben zu den Bilanzierungs- und Bewertungsmethoden

Die Bilanzierungs- und Bewertungsmethoden werden grundsätzlich an den handelsrechtlichen Vorschriften ausgerichtet.

Anlagevermögen

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten unter Berücksichtigung nutzungsbedingter bzw. außerplanmäßiger Abschreibungen bewertet. Für die im Geschäftsjahr angeschafften geringwertigen Wirtschaftsgüter wurde von der Bewertungsfreiheit gemäß § 6 Abs. 2 EStG auch im handelsrechtlichen Jahresabschluss Gebrauch gemacht.
Die planmäßigen Abschreibungen erfolgen linear über die voraussichtliche wirtschaftliche Nutzungsdauer. Den planmäßigen Abschreibungen liegen die Nutzungsdauern der steuerlichen Tabellen zur Absetzung für Abnutzung (AfA) zugrunde.

Umlaufvermögen

Die Bewertung der unfertigen und fertigen Erzeugnisse erfolgte zu Herstellungskosten gemäß § 255 Abs. 2 HGB bzw. dem niedrigeren beizulegenden Wert.

Forderungen und sonstige Vermögensgegenstände wurden grundsätzlich mit dem Nominalwert angesetzt. Erkennbare Risiken wird durch Bildung von Pauschalwertberichtigungen Rechnung getragen.

Die Bewertung des Kassenbestandes sowie der Guthaben bei Kreditinstituten erfolgt zum Nominalbetrag.

Als Rechnungsabgrenzungsposten sind Auszahlungen vor dem Abschlussstichtag angesetzt, soweit sie Aufwand für einen bestimmten Zeitraum nach diesem Zeitpunkt darstellen.

Rückstellungen

Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und sind mit dem Erfüllungsbetrag angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist.

Angaben zu den Pensionsrückstellungen gemäß § 285 Nr. 24 HGB:

Zum 01. Januar 2010 ergibt sich aus der Neubewertung der Pensionsrückstellung ein Zuführungsbetrag in Höhe von € 71.497,00. Die Gesellschaft entschied sich für die Ausübung des Wahlrechts nach Art. 67 Abs. 1 EGHGB und eine Verteilung der erforderlichen Zuführung über den möglichen Zeitraum von 15 Jahren. Folglich wird beginnend mit dem Geschäftsjahr 2010 in jedem Jahr ein Betrag von mindestens € 4.767,00 der Pensionsrückstellungen erfolgswirksam zugeführt. Zum 31.12.2022 beträgt der noch nicht in der Bilanz ausgewiesener Betrag der Unterdotierung € 4.759,00.

Die Berechnung der Pensionsrückstellung gemäß versicherungsmathematischem Gutachten zum 31.12.2023 weist eine planmäßige Minderung zu den Pensionsrückstellungen für das Geschäftsjahr 2023 von 5.562,00 € aus (davon Zinsaufwand 33.527,00 € und Dienstzeitertrag 39.089,00 €) und basiert auf folgenden Parametern:

Rentenanpassungstrend: 0,0 %

Sterbetafeln: Richttafeln 2018 G von Prof. Dr. Klaus Heubeck

Beim Ansatz der Pensionsrückstellungen wurde erstmals im Geschäftsjahr 2016 von einem durchschnittlichen Marktzinssatz aus den vergangenen zehn Geschäftsjahren ausgegangen. Bis zum 31.12.2015 wurde die Rückstellung nach Maßgabe des entsprechenden Marktzinssatzes aus den vergangenen sieben Geschäftsjahren angesetzt. Dies führt gegenüber der bisherigen Methode zu einer um 19.220,00 € niedrigeren Pensionsrückstellung. Dieser Betrag unterliegt gem. § 253 Abs. 6 Satz 2 HGB einer Ausschüttungssperre.

Verbindlichkeiten

Verbindlichkeiten werden mit ihren Erfüllungsbeträgen angesetzt.

C. Sonstige Pflichtangaben

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 19.
