Anhang

1. Allgemeine Angaben

Die Data Information Intelligence GmbH hat ihren Sitz in Leipzig und ist eingetragen in das Handelsregister beim Amtsgericht Leipzig HRB 21399.

Der Jahresabschluss der Gesellschaft für das Geschäftsjahr 2022/23 wurde wie im Vorjahr nach den für Kapitalgesellschaften geltenden Vorschriften des HGB in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes (BilRUG) aufgestellt.

Die gesetzlichen Gliederungsschemata der §§ 266 bzw. 275 HGB wurden angewandt; bei der Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren (§ 275 Abs. 2 HGB) beibehalten.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

2. Angaben zur Bilanz

2.1 Bilanzierungs- und Bewertungsmethoden

Das Sachanlagevermögen wird zu Anschaffungs- oder Herstellungskosten, vermindert um die planmäßigen Abschreibungen der Vorjahre und die Abschreibungen des Berichtsjahres (sowie um außerplanmäßige Abschreibungen wegen voraussichtlich dauernder Wertminderung) bewertet.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von EUR 800,00 wurden im Jahre des Zugangs voll abgeschrieben.

Die unfertigen Leistungen wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt.

Forderungen aus Lieferungen und Leistungen, Forderungen gegen verbundene Unternehmen, sonstige Vermögensgegenstände und flüssige Mittel sind mit dem Nennwert bilanziert.

Unter den aktiven Rechnungsabgrenzungsposten werden Ausgaben vor dem Bilanzstichtag ausgewiesen, soweit sie Aufwand für eine bestimmte Zeit nach dem Bilanzstichtag darstellen.

Die sonstigen Rückstellungen berücksichtigen alle bis zur Bilanzerstellung bekannt gewordenen Risiken und ungewissen Verpflichtungen, die das abgelaufene Geschäftsjahr betreffen. Der Ansatz erfolgt in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages.

Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Geschäftsvorfälle in fremder Währung wurden zum jeweiligen Tageskurs eingebucht.

2.2 Erläuterungen zu einzelnen Posten der Bilanz

Forderungen und sonstige Vermögensgegenstände
Sämtliche Forderungen sonstige Vermögensgegenstände haben wir im Vorjahr eine Restlaufzeit von bis zu einem Jahr.

Von den Forderungen und sonstigen Vermögensgegenständen entfallen EUR 3.363.640,64 (i. V. EUR 2.894.267,35) auf Forderungen gegen verbundene Unternehmen aus Lieferungen und Leistungen sowie EUR 44.911,30 (i. V. EUR 3.252,65) auf sonstige Forderungen gegen verbundene Unternehmen.

Verbindlichkeiten
Sämtliche Verbindlichkeiten haben wie im Vorjahr eine Restlaufzeit von bis zu einem Jahr.

Die Verbindlichkeiten betreffen kurzfristige Darlehensverpflichtungen gegenüber der Gesellschafterin in Höhe von EUR 600.000,00 (i. V. EUR 280.000,00).

Von den Verbindlichkeiten entfallen EUR 3.470.636,16 (i. V. EUR 2.556.398,31) auf Verbindlichkeiten gegenüber verbundene Unternehmen aus Lieferungen und Leistungen.

Die nachfolgenden Sicherungsarten und Sicherungsformen sind mit den Verbindlichkeiten verbunden: Die Gesellschaft hat mit der Deutschen Bank zur Sicherung der Kontokorrentlinie (TEUR 150) einen Globalzessionsvertrag abgeschlossen. Dieser beinhaltet die Abtretung sämtlicher gegenwärtiger und zukünftiger Forderungen aus Lieferungen und Leistungen.

Haftungsverhältnisse
Haftungsverhältnisse gemäß § 251 HGB bestanden am Bilanzstichtag nicht.

Der Geschäftsführung gehören bzw. gehörten an:

1) Emily Helen Jackson-Kessler, Chief Operating Officer (bestellt am 4. Juli 2023).
2) Helen Hutchinson, Interim Chief Operating Officer (bestellt am 23. Juni 2022 und ausgeschieden am 4. Juli 2023, erneut bestellt am 6. Februar 2024).
3) Ramsey Emile Hashem, Chief Operating Officer (bestellt am 4. Juli 2023 und ausgeschieden
am 6. Februar 2024).

Konzernzugehörigkeit
Die Data Information Intelligence GmbH wurde in den Konzernabschluss der "The Economist Newspaper Ltd." (Vereinigtes Königreich, London) einbezogen.

Überschuldung
Auf der Aktivseite der Bilanz wird ein nicht durch Eigenkapital gedeckter Fehlbetrag in Höhe von EUR 498.181,03 ausgewiesen. Die Gesellschafterin hat den Rangrücktritt für Darlehensansprüche gegen die Gesellschaft in Höhe von EUR 600.000,00 ausgesprochen. Die bilanzielle Überschuldung wird dadurch beseitigt.
